Effective Date: 25 October 2026
Registered/Principal Location: Gwalior, Madhya Pradesh, India

1. Introduction and Purpose
By accessing our website, submitting an enquiry, communicating with the Company, submitting an application, registering for any programme, making a payment, accepting a proposal, signing a separate agreement, participating in a business programme or otherwise using any service or opportunity offered by RIPL, you acknowledge that you have read, understood and agreed to be bound by these Terms, together with our Privacy Policy, Disclaimer and any specific written proposal, quotation, engagement letter, order form, service agreement or programme-specific terms applicable to your transaction.
2. Company Identity and Interpretation
For the purpose of these Terms, the expression “Company” includes Rishishwar Industry Private Limited, its authorised representatives, employees, officers, designated personnel, consultants and authorised service teams, where the context requires.
Headings used in these Terms are provided for convenience and navigation only and shall not limit, expand or otherwise affect the meaning or interpretation of any provision.
3. Acceptance of These Terms
Your continued use of the website or services constitutes acceptance of these Terms. If you do not agree with any provision of these Terms, you should not use the relevant website, submit an application, make a payment, participate in a programme or proceed with the relevant commercial engagement.
In situations where a user continues communication with RIPL after receiving a quotation, proposal, payment instruction, programme information, application communication or service-related communication, such conduct may be considered evidence of the user's intention to proceed with the relevant engagement, subject to the actual terms communicated and applicable law.
Acceptance may occur electronically, including through website interaction, checkbox confirmation, email confirmation, electronic communication, online application, payment, digital signature, message confirmation or other reasonable electronic means.
The Company may retain records of electronic communications, applications, confirmations, payment records, documents and other relevant information for administrative, contractual, legal, accounting, compliance, security and dispute-resolution purposes.
4. Eligibility to Use the Website and Services
The website and services are intended for individuals and organisations capable of entering into legally enforceable arrangements under applicable law.
The Company may request additional information or documentation to verify identity, authority, eligibility, business status, programme eligibility, commercial requirements or other relevant matters.
RIPL may decline, suspend, restrict or terminate an application, enquiry, account, programme participation or service engagement where the information provided appears inaccurate, incomplete, misleading, fraudulent, unauthorised or inconsistent with applicable eligibility requirements.
5. Website Access and Permitted Use
The RIPL website is intended to provide information about the Company's business activities, services, programmes, opportunities, initiatives, commercial offerings and other relevant information.
You agree to use the website only for lawful purposes and in a manner that does not violate applicable laws, contractual obligations, intellectual property rights, privacy rights, security requirements or the rights of the Company or any third party.
You must not use the website to conduct fraudulent activities, impersonate another person, submit false applications, distribute malicious software, attempt unauthorised access, interfere with website operations, scrape restricted information, bypass technical controls, overload systems, introduce harmful code or otherwise misuse the Company's digital infrastructure.
The Company reserves the right to restrict or suspend access where it reasonably believes that website usage may create security, legal, operational or commercial risks.
6. Website Content
Such information is provided for general informational and commercial communication purposes and may be changed, updated, replaced, withdrawn or discontinued without prior notice where commercially or operationally appropriate.
Eligibility, availability, selection, capacity, documentation, verification, commercial terms and specific contractual conditions may apply.
7. Accuracy of Information Provided by Users
You are responsible for ensuring that information submitted to RIPL is accurate, complete, current and not misleading.
You agree to promptly inform RIPL if any material information previously provided becomes inaccurate, outdated or incomplete.
The Company shall not be responsible for consequences arising directly from inaccurate, incomplete, outdated, fraudulent or misleading information supplied by the user.
Where documents are submitted, the user is responsible for ensuring that such documents are genuine, legally obtained and authorised for submission.
8. Enquiries and Initial Communications
Submitting an enquiry through the website, email, telephone, social media, messaging application or any other communication channel does not automatically create a client relationship.
An enquiry merely enables RIPL to understand the user's requirements and determine whether the Company is able or willing to provide the requested service or opportunity.
RIPL may request additional information before determining whether an engagement can proceed.
The Company may also decline an enquiry where the requested service is outside its capabilities, commercial scope, eligibility requirements, risk parameters, geographic coverage, programme capacity or legal limitations.
No person should assume that an enquiry has been accepted merely because RIPL has acknowledged receipt of the enquiry.
9. Applications and Registration
RIPL may review applications based on criteria that may include business model, eligibility, documentation, feasibility, commercial potential, programme capacity, strategic suitability, compliance requirements, internal assessment and other relevant factors.
The Company may request additional documents, explanations, declarations, financial information, business information or verification before accepting an application.
10. Verification and Due Diligence
RIPL may conduct reasonable verification or due diligence before providing certain services, accepting applications, processing funding-related requests, facilitating investor introductions, onboarding business partners, approving programme participation or entering into commercial relationships.
Verification may include review of information, documents, business details, registration details, financial information, ownership information, authorisations, business activities, representations and other relevant information.
The extent and nature of verification may differ depending upon the nature of the service or programme.
Completion of verification does not constitute a guarantee of funding, investment, commercial success or approval of any particular outcome.
Where verification identifies inconsistencies, concerns or potential risks, RIPL may request clarification, suspend processing, decline the application or take other reasonable action.
11. Nature of RIPL Services
RIPL may provide different categories of business and professional support depending upon the engagement.
The exact scope of any service shall depend upon the relevant proposal, quotation, engagement letter, programme terms, service description or written communication applicable to the particular engagement.
No service shall be interpreted as including an activity that has not been expressly agreed upon.
12. Service Scope and Deliverables
Where RIPL agrees to provide a specific service, the scope may be described through a proposal, quotation, engagement letter, service agreement, programme document, email confirmation or other written communication.
The scope may identify the nature of work, expected process, communication structure, timelines, responsibilities, fees, applicable conditions and other relevant commercial terms.
RIPL shall generally perform the agreed professional or business-support activities using commercially reasonable efforts, subject to information and cooperation provided by the client and the circumstances applicable to the engagement.
Where a service depends upon information, approvals, documents, responses, third-party systems or external events, the applicable timeline may be affected accordingly.
13. No Implied Services
Services shall not be interpreted broadly merely because they are commercially related.
For example, a business research engagement does not automatically include legal representation, statutory certification, audit, tax filing, investment advisory services, guaranteed funding, guaranteed sales, guaranteed customers or any other service unless specifically agreed.
Any additional service requested after commencement may require a separate commercial arrangement.
14. Professional and Business Support Nature
Unless specifically stated otherwise in a written agreement, RIPL's services are generally intended to provide business, strategic, operational, research, growth, funding-support, market or commercial assistance.
The Company does not represent that every recommendation will produce a specific commercial result.
Business decisions depend on numerous factors, including market conditions, competition, pricing, execution, customer behaviour, capital availability, regulatory conditions, economic conditions, management decisions and factors outside the Company's control.
Accordingly, the user remains responsible for evaluating recommendations and making final business decisions.
15. Business Research, Analysis and Strategy
Where RIPL provides business research, analysis or strategy services, the Company may use information supplied by the client, publicly available information, market information, third-party information and other reasonably available sources.
Research and analysis are subject to the quality, availability, reliability and timeliness of the information available at the relevant time.
Market conditions may change after an analysis is completed.
Accordingly, any research report, analysis, strategic recommendation, market assessment or business plan should be treated as professional business support rather than a guarantee of future performance.
The client remains responsible for independent evaluation before implementing any recommendation.
16. Sales Scaling and Business Growth Services
Where RIPL assists with sales scaling, business growth, market expansion, distribution development, retail expansion or related activities, the Company's role may include strategy, planning, process development, market research, business support, network development or other agreed activities.
The Company does not guarantee a fixed number of customers, retailers, distributors, orders, revenue, profit, market share or return on investment unless a specific written agreement expressly provides such measurable contractual commitment.
Actual results may vary due to market conditions, execution, customer response, product-market fit, pricing, competition, internal business decisions and other factors.
17. Business Transformation Services
Business transformation services may involve review of existing processes, identification of operational gaps, strategic recommendations, organisational improvements, business process support, sales systems, market expansion or related transformation initiatives.
Transformation outcomes depend significantly on the client's implementation, management decisions, employee participation, internal systems and operational capacity.
RIPL may provide recommendations or structured support, but the client remains responsible for implementing decisions within its organisation.
The Company shall not be responsible for internal business decisions made independently by the client unless expressly agreed otherwise in writing.
18. Funding-Related Services
RIPL may provide funding-related assistance, including business funding support, application support, funding research, documentation assistance, investor-connect facilitation, programme participation, funding opportunity identification, pitch preparation, business presentation support or related services.
Funding-related services are intended to assist the user in navigating or preparing for potential funding opportunities.
RIPL does not automatically become a lender, investor, financial institution, fund manager, bank or guaranteed funding provider merely because it provides funding-related support.
The exact role of RIPL shall depend upon the relevant engagement and applicable written terms.
19. No Guarantee of Funding
No statement on the website, proposal, presentation, social media post, communication or promotional material should be interpreted as an unconditional guarantee that a particular applicant will receive funding.
References to funding “up to ₹5 Crore” or any other maximum funding amount refer to a potential maximum opportunity or programme-level funding possibility, subject to eligibility, assessment, investor/lender decisions, programme rules, availability of capital and applicable conditions.
The final funding decision may be made by an investor, lender, funding partner, programme authority, committee, financial institution or other authorised decision-maker, depending on the relevant programme.
22. Investor Connect and Pitching Opportunities
RIPL may facilitate investor-connect activities, pitch sessions, investor introductions or opportunities for founders to present their businesses.
Investor participation does not guarantee investment.
Investors or other funding stakeholders may independently evaluate business models, financial information, founders, market opportunities, risks, valuation, legal structure and other factors.
RIPL does not control the independent decision of any investor unless RIPL itself is expressly acting as the contracting investor under a separate written agreement.
Applicants remain responsible for ensuring that all information presented to investors is accurate, complete and legally authorised for disclosure.
23. Business Proposals, Presentations and Projections
Business proposals, pitch decks, financial projections, market estimates, growth forecasts, business plans, investor presentations and similar documents may contain assumptions based on information available at the time of preparation.
Such documents are not guarantees of future results.
Projected revenue, expected sales, market size, funding potential, customer numbers, valuation, profitability or other financial or commercial outcomes may differ materially from actual results.
Users should conduct appropriate independent due diligence before making investment, funding, operational or commercial decisions based on any such information.
24. Client Cooperation
The quality and timeliness of many services depend upon timely cooperation from the client.
The client may be required to provide accurate information, documents, approvals, responses, access, confirmations, business details, financial information or other inputs reasonably required for the agreed service.
If the client delays, refuses, fails or is unable to provide required information or approvals, the Company may be unable to complete the relevant activity within the originally expected timeline.
Such delay may not constitute a failure by RIPL where the delay is reasonably attributable to the client's non-cooperation.
25. Delays Caused by External Factors
Certain services may depend upon third-party systems, banks, payment gateways, government authorities, investors, lenders, programme authorities, technology providers, verification agencies, communication platforms or other external parties.
RIPL shall not be deemed to have breached an obligation merely because an external party delays, changes, rejects, suspends or fails to perform an activity outside RIPL's reasonable control.
Where reasonably possible, RIPL may communicate material delays or changes to the relevant client or participant.
Any revised timeline shall be considered in light of the circumstances causing the delay.
26. Communication Channels
Official communications may be conducted through email, telephone, website forms, authorised messaging channels, official business communication platforms or other channels notified by RIPL.
The Company may designate specific communication channels for particular programmes or services.
Users should verify payment instructions, bank details, official email addresses and other sensitive information before making any payment.
RIPL shall not be responsible for payments made to unauthorised persons, fraudulent accounts, impersonators or unofficial channels where the user failed to reasonably verify the authenticity of the payment request.
27. Electronic Communications and Records
By interacting with RIPL electronically, you consent to receiving communications through electronic means where permitted by applicable law.
Electronic records, emails, application submissions, confirmations, payment records, digital acknowledgements and other electronic communications may be retained as evidence of communication, instructions, requests, approvals or transactions.
The Company may use such records for administrative, contractual, accounting, compliance, security and dispute-resolution purposes.
Users should retain copies of important communications and transaction documents relevant to their engagement.
28. Service Commencement
A service shall generally be considered commenced when RIPL begins material work, allocates personnel or resources, performs research, initiates processing, undertakes onboarding, prepares documents, begins strategy work, initiates third-party coordination, conducts evaluation or performs another agreed activity.
The exact commencement point may depend on the nature of the service.
Once a service has commenced, cancellation and refund rights shall be governed by the specific cancellation and refund provisions contained in these Terms and any applicable written agreement.
Payment alone shall not necessarily mean that every service has commenced, but commencement may occur before the final stage of the service.
29. Service Timelines
Any timeline communicated by RIPL should generally be understood as an estimated or target timeline unless a specific written agreement expressly identifies it as a binding contractual deadline.
Timelines may be affected by client responses, document availability, third-party actions, verification requirements, government processes, technical conditions, business complexity, programme schedules and other circumstances.
RIPL shall use commercially reasonable efforts to perform agreed services within the applicable timeline, subject to such dependencies.
30. Changes in Service Scope
If a client requests a material change to the agreed scope after commencement, RIPL may assess the effect of such change on fees, timelines, resources and deliverables.
The Company may require written confirmation before undertaking additional work.
Additional work may be subject to separate fees or revised commercial terms.
A request for additional work shall not automatically modify the existing agreement unless accepted by RIPL through an authorised communication.
31. Separate Commercial Agreements
Certain services may be governed by a separate agreement, proposal, quotation, engagement letter, order form, programme agreement, statement of work or other written commercial document.
Where such document is signed or expressly accepted by both parties, its provisions shall apply to the relevant engagement.
If a specific agreement conflicts with these general Terms, the specific written agreement shall generally prevail only to the extent of the conflict and only for the subject matter expressly covered by that agreement.
All other provisions of these Terms shall continue to apply unless expressly excluded.
32. Pricing and Commercial Terms
Fees, charges, programme fees, consultation charges, registration fees, processing charges, service charges or other commercial amounts may differ according to the service, scope, programme, client requirements and applicable quotation.
The applicable price shall generally be the price communicated in the relevant quotation, proposal, invoice, payment page or written commercial communication.
Promotional prices, discounts, introductory offers or programme-specific benefits may be subject to additional conditions.
RIPL may modify future pricing without affecting amounts already contractually agreed unless otherwise permitted by the applicable agreement.
33. Taxes and Statutory Charges
Unless expressly stated otherwise, applicable taxes, statutory charges, government fees, payment gateway charges or other legally applicable charges may be payable in addition to the stated service fee.
The Company may issue invoices or other transaction records as applicable.
Where tax deductions or statutory withholding obligations apply, the customer shall comply with applicable requirements and provide necessary documentation to RIPL.
The tax treatment of a particular transaction may depend upon the customer's status, transaction structure, applicable law and other factors.
34. Payment Obligations
Where a service requires advance payment, registration payment, programme fee, consultation fee or other payment, the user shall make the payment through an authorised payment method communicated by RIPL.
The user is responsible for ensuring that the correct amount is paid and that the transaction is completed successfully.
A payment shall not be treated as valid if made through an unauthorised account or fraudulent channel.
RIPL may require payment confirmation or transaction details where necessary for reconciliation.
35. Payment Processing
Payment processing may involve banks, payment gateways, financial institutions or other third-party payment service providers.
The Company may not control the technical operation, settlement timelines, transaction verification procedures or service availability of such third parties.
A payment may take time to reflect in Company records depending upon the payment method and banking or payment system.
Where a payment has been deducted from the user's account but is not received by RIPL, the user may be required to provide transaction evidence so that the payment status can be verified.
36. No Assumption of Refund from Payment Failure
A failed, pending, reversed or disputed payment transaction shall not automatically create a refund obligation where the amount has not actually been received by RIPL.
Where a payment gateway or bank reverses a transaction, the relevant reversal may be governed by the payment provider's processing rules.
Where RIPL has received the amount and a legitimate refund is subsequently approved, the refund shall be processed in accordance with the applicable refund provisions.
37. Relationship Between These Terms and the Refund Policy
Because payments, cancellations and refunds can involve different circumstances, the refund provisions contained in these Terms shall be interpreted together rather than in isolation.
The existence of a payment does not by itself create an unconditional right to cancellation or refund.
Refund eligibility may depend upon who initiated the cancellation, whether the service commenced, whether RIPL committed a material failure, whether work has already been performed, whether third-party expenses were incurred, what was agreed in writing, and whether applicable law requires a different result.
The detailed refund and non-refundable provisions shall be considered an integral part of this Agreement.
38. Important Commercial Understanding
The parties acknowledge that certain RIPL services involve allocation of professional time, personnel, business resources, research effort, administrative processing, strategic work, programme administration, coordination, communication, evaluation and other activities that may begin after payment or confirmation.
Accordingly, the commercial nature of a payment shall be considered in light of the actual service engagement rather than solely on whether a final commercial outcome has been achieved.
The absence of a desired business outcome does not automatically establish that RIPL failed to perform its agreed obligations.
Any cancellation or refund shall therefore be assessed according to the applicable contractual provisions, actual circumstances, work performed, responsibility for cancellation and applicable law.
39. User's Independent Business Responsibility
The user remains responsible for conducting appropriate due diligence before entering into a commercial transaction, investing money, accepting funding, launching a business, purchasing a service, entering into a partnership, appointing a distributor, accepting an investor or making any other business decision.
RIPL may provide business support, information, analysis or assistance, but the final commercial decision remains with the user unless a specific written agreement provides otherwise.
Users should obtain independent legal, tax, accounting, financial or regulatory advice whenever their circumstances require specialised professional advice.
40. No Automatic Guarantee of Commercial Results
Nothing in these Terms shall be interpreted as a guarantee that use of RIPL's services will result in a particular level of revenue, profit, funding, investment, valuation, sales, customers, market share, distribution network, business growth or other commercial result.
Business outcomes are influenced by factors beyond the Company's control.
The Company's obligation shall generally be limited to performing the services expressly agreed upon in accordance with the applicable commercial terms and these Terms.
41. User Responsibility for Decisions
Any recommendation, strategy, business analysis, funding preparation, market assessment, sales plan or other professional input provided by RIPL should be evaluated in the context of the user's specific circumstances.
The user is responsible for determining whether and how to implement any recommendation.
RIPL shall not be responsible for a decision that the user independently makes after receiving information or recommendations unless such responsibility is expressly accepted by RIPL in a separate written agreement.
42. No Automatic Partnership, Agency or Representation
Use of the website, participation in a programme, payment of a fee or receipt of business support does not automatically create a partnership, joint venture, employment relationship, franchise, agency, fiduciary relationship or other legal relationship between the user and RIPL.
Any partnership, strategic alliance, investment relationship, agency arrangement or other special relationship shall require appropriate written documentation.
43. Confidentiality Expectations
Where a user shares confidential business information with RIPL for the purpose of evaluating or providing an agreed service, RIPL may handle such information in accordance with its Privacy Policy, applicable confidentiality obligations and the terms of the relevant engagement.
Users should clearly identify information that is intended to be treated as confidential where appropriate.
Confidentiality obligations may be subject to legal disclosures, regulatory requirements, fraud prevention, third-party service requirements, dispute resolution, court orders or other circumstances permitted by law.
Where a separate confidentiality agreement or NDA is executed, its terms shall govern the relevant confidential information.
44. Intellectual Property
Unless expressly stated otherwise in writing, intellectual property belonging to RIPL, including its trademarks, logos, branding, website design, written content, graphics, business frameworks, templates, processes, presentations, proprietary methods, software, databases and other protected materials, shall remain the property of RIPL or its respective licensors.
Any intellectual property created specifically for a client shall be governed by the applicable commercial agreement, where such agreement contains specific ownership or licence provisions.
45. Privacy and Personal Information
Personal information collected by RIPL shall be handled in accordance with the Company's Privacy Policy and applicable law.
Users should review the Privacy Policy before submitting personal, business, financial or other sensitive information through the website.
By submitting information, users acknowledge that the information may be processed for legitimate business, administrative, contractual, security, communication, service-delivery and legal purposes as described in the Privacy Policy.
Where separate consent is legally required, RIPL may obtain such consent through appropriate means.
46. Third-Party Services
RIPL may use or coordinate with third-party service providers for payment processing, communication, hosting, analytics, technology, verification, marketing, logistics, professional support or other business functions.
The use of a third-party service does not necessarily mean that RIPL controls that third party.
Third-party services may have their own terms, privacy policies, security practices, availability limitations and commercial conditions.
Where a third party independently provides a service, the user's relationship with that third party may be governed by the third party's own contractual terms.
47. External Websites and Links
The RIPL website may contain links to third-party websites, platforms, social media pages, applications or other digital resources.
Such links may be provided for convenience or informational purposes.
RIPL does not automatically endorse, control or guarantee the accuracy, availability, security, legality or reliability of third-party websites.
Users should independently review the applicable terms and privacy policies of third-party websites before using them or providing information.
48. Website Security and Availability
RIPL takes reasonable measures to maintain website availability and security; however, no digital system can be guaranteed to remain continuously available or completely free from technical risks.
The website may occasionally be unavailable because of maintenance, upgrades, hosting issues, network failures, cybersecurity incidents, third-party outages, technical problems or circumstances beyond the Company's reasonable control.
RIPL may suspend or modify website functionality where reasonably necessary for security, maintenance, operational or legal reasons.
49. Prohibited Activities
Users shall not use the RIPL website or services for fraudulent, unlawful, deceptive, abusive or malicious activities.
Prohibited conduct includes submitting false information, impersonating another person, attempting unauthorised access, introducing malware, abusing communication systems, exploiting technical vulnerabilities, misusing Company intellectual property, conducting fraudulent payment activity, manipulating applications, submitting forged documents or using Company services to facilitate unlawful activities.
Where appropriate, RIPL may suspend access, reject applications, terminate services, preserve relevant records and take lawful action.
50. Continued Application of These Terms
These Terms shall continue to apply to the extent relevant even after a user stops accessing the website or after a service engagement ends.
Provisions relating to payment obligations, refunds, intellectual property, confidentiality, privacy, liability, dispute resolution, governing law, records and other provisions that by their nature should survive termination shall continue to apply.
The conclusion of a service does not automatically extinguish obligations that arose before termination.
51. Acceptance Before Commercial Engagement
Before entering into any paid engagement, programme or commercial transaction, users are expected to read these Terms carefully and raise any material questions with RIPL before making payment or providing final acceptance.
If a user proceeds after receiving or being given reasonable access to these Terms, such user may be deemed to have accepted the applicable provisions, subject to applicable law and any specific written agreement.
Where a specific contract is signed, the parties should review that document together with these Terms.
52. Important Notice Regarding Future Refund Provisions
The payment, cancellation, non-refundable payment, company-side cancellation, mutual cancellation and refund provisions contained in the later sections of these Terms form an important part of the commercial relationship between RIPL and its customers or participants.
Those provisions are intended to distinguish between cancellation by the customer, cancellation by RIPL, mutual cancellation, failure to achieve an expected business result, rejection of funding or investment, service commencement, third-party expenses and circumstances in which RIPL itself has materially failed to perform an agreed obligation.
No refund provision shall be interpreted as removing any right that cannot lawfully be excluded under applicable law.
53. No Waiver of Statutory Rights
Nothing in these Terms is intended to unlawfully exclude or restrict any statutory right, remedy or protection that cannot legally be excluded or restricted.
Where applicable law provides a mandatory right, obligation, remedy or refund requirement, the relevant legal requirement shall apply to the extent required.
All contractual refund, cancellation and liability provisions shall therefore be interpreted subject to applicable law.
54. Interpretation of Commercial Terms
If any provision of a quotation, proposal, invoice, programme document or other commercial communication is unclear, the parties should seek written clarification before proceeding.
RIPL may issue written clarifications, amendments or additional commercial instructions where reasonably necessary.
However, informal statements made by unauthorised persons shall not automatically amend a written agreement.
Only authorised representatives of RIPL may approve material changes to commercial terms, refunds, cancellations, scope or other contractual commitments.
55. Authorised Company Decisions
Certain decisions, including acceptance of special commercial arrangements, cancellation approvals, refunds, settlement proposals, exceptional discounts, amendments, waivers or other deviations from standard terms, may require approval from authorised management personnel of Rishishwar Industry Private Limited.
An employee, consultant, sales representative, business development executive or other individual shall not automatically have authority to make commitments outside their authorised role.
Where a user receives an unusual request or exception, the user should obtain written confirmation from an authorised Company representative.
56. Official Contact
For questions concerning these Terms, commercial arrangements, service scope, cancellation requests, refund requests, privacy matters or other contractual matters, users may contact:
Rishishwar Industry Private Limited
Gwalior, Madhya Pradesh, India
Email: info@rishishwarindustry.in
Users should use official Company communication channels when submitting important contractual, payment or refund-related requests.
The subsequent sections shall be read together with the provisions contained above.
In particular, users should carefully review the dedicated payment, cancellation and refund provisions before making any payment or entering into a commercial engagement with RIPL.
58. Business Services Offered by RIPL
59. Nature of Business Engagement
60. Service Scope Shall Be Specific
RIPL shall generally perform only those services that have been expressly agreed upon. Customers shall not assume that services outside the agreed scope are automatically included merely because they are commercially connected to the principal service. For example, a business strategy engagement may not automatically include legal representation, accounting, tax filing, statutory compliance, audit, investment management, guaranteed sales, guaranteed funding or any other specialised professional service unless such service is expressly included in a written agreement. Similarly, a funding-support engagement may include assistance with business documentation, preparation, research, pitch development or investor-connect activities without creating an obligation upon RIPL to provide or arrange the actual funding unless expressly agreed in writing.
61. Business Research Services
Where RIPL provides business research services, the Company may conduct research using information supplied by the customer, publicly available information, market sources, business databases, third-party information, industry information and other sources reasonably available to the Company. Research findings may depend upon the quality, accuracy, availability and timeliness of information accessible at the time of research. Markets can change rapidly due to economic conditions, customer behaviour, competition, government policies, technology, pricing, supply conditions and other factors. Accordingly, research should be understood as an assessment based on available information rather than an absolute representation of future market conditions. The customer remains responsible for independently evaluating the suitability of research findings before making significant commercial decisions.
62. Business Analysis Services
Business analysis may involve evaluation of business models, operations, market positioning, sales processes, distribution structures, customer segments, revenue opportunities, cost structures, competition, growth opportunities or other business factors. The nature and depth of analysis will depend upon the agreed scope and information made available to RIPL. If relevant information is not provided, is incomplete or is inaccurate, the resulting analysis may be affected. RIPL may identify potential opportunities or risks but does not guarantee that every identified opportunity can be implemented successfully. The customer remains responsible for final decisions relating to its business, investments, employees, vendors, customers, products, services and operations.
63. Strategic Advisory and Business Strategy
Strategic services may include business planning, market-entry planning, growth strategy, sales strategy, distribution strategy, expansion planning, business transformation recommendations and related strategic activities. Strategic recommendations are developed in the context of information available at the time and may need to be revised as circumstances change. No strategic recommendation should be interpreted as a promise of a particular revenue, valuation, customer base, funding result or profitability. The effectiveness of a strategy depends substantially upon implementation, management capability, financial resources, market conditions and other factors that may remain outside RIPL's control.
64. Market Expansion Services
RIPL may assist businesses with market expansion, retail network development, distribution development, market-entry planning, regional expansion and related commercial activities. Such assistance may involve identifying potential markets, preparing strategies, developing business processes, supporting communication, identifying potential business contacts or providing other agreed support. RIPL does not guarantee that every market identified will produce commercial success. The availability of retailers, distributors, customers, partners or other commercial opportunities may change over time. Any numbers, targets or expansion projections communicated by RIPL should be treated as targets, estimates or potential opportunities unless expressly guaranteed through a separate written agreement.
65. Sales Scaling Services
Sales scaling services may involve development of sales strategies, sales processes, lead-generation approaches, distribution strategies, retail expansion, business development support, sales-team systems, performance frameworks and related activities. Sales performance depends on numerous variables including pricing, product quality, customer demand, competition, sales execution, employee performance, market conditions and business decisions. RIPL may provide strategic or operational assistance but does not guarantee a particular number of leads, customers, retailers, orders or revenue unless a specific written contractual commitment expressly provides otherwise.
66. Retail and Distribution Network Development
Where RIPL assists a business in developing a retail or distribution network, the Company may support market research, network strategy, retailer identification, distributor development, business communication or other agreed activities. Any reference to a potential number of stores, retailers, distributors, territories or markets shall not automatically constitute a contractual guarantee. Actual network development may depend upon retailer interest, product suitability, commercial terms, territory conditions, logistics, pricing, competition and other external factors. Customers remain responsible for their own product, pricing, supply, regulatory, contractual and operational decisions.
67. Business Transformation and Risk Management
RIPL may assist businesses in identifying operational risks, business-process gaps, sales challenges, market risks, expansion risks and other commercial concerns. Risk-management support is intended to improve decision-making and business preparedness but cannot eliminate all business risks. No business strategy can guarantee that a company will avoid losses, disputes, market disruption, fraud, regulatory changes, operational failures or other unforeseen events. The customer remains responsible for implementing appropriate controls and obtaining specialised legal, financial, tax, insurance or regulatory advice where necessary.
68. Technology and Digital Business Support
Where RIPL provides technology or digital support, the scope shall depend upon the specific commercial agreement. Technology-related support may include website-related assistance, digital systems, business technology support, software-related coordination, digital strategy, platform support or other agreed activities. Technology services may depend upon third-party hosting providers, software providers, APIs, payment systems, communication platforms and other external infrastructure. RIPL cannot guarantee uninterrupted availability of third-party technology or that every technical environment will remain compatible with every future system.
69. Business Funding Assistance
RIPL may provide business funding assistance intended to help eligible businesses identify, understand, prepare for or approach potential funding opportunities. Depending upon the programme, such assistance may include business assessment, funding-readiness evaluation, business plan support, financial presentation support, pitch preparation, documentation support, investor communication support, funding opportunity research or introductions to relevant stakeholders. Such assistance does not by itself constitute a promise that the applicant will receive funding. Funding decisions may depend upon independent evaluation by investors, lenders, institutions, programme authorities or other funding stakeholders.
70. Funding Amounts Mentioned in Promotional Material
Where RIPL communicates a funding opportunity such as “funding up to ₹5 Crore” or any other maximum funding amount, the stated amount shall be understood as a maximum potential opportunity and not as an unconditional commitment to provide such amount to every applicant. The actual amount, if any, may depend upon eligibility, business quality, financial requirements, investor or lender interest, programme conditions, due diligence, risk assessment, availability of capital and other applicable factors. Customers shall not interpret promotional maximums as guaranteed funding commitments unless a specific written funding agreement expressly creates such obligation.
71. Funding Readiness Assessment
RIPL may assess a business's readiness for potential funding based on information provided by the applicant. Such assessment may consider business model, market opportunity, financial information, growth potential, documentation, management capability, business structure and other relevant factors. A positive assessment does not guarantee that funding will be approved. Similarly, an initial assessment that a business appears suitable for funding does not bind any investor, lender or funding partner to provide capital. The applicant acknowledges that funding decisions may be made independently by third parties.
72. Investor Introductions
Where RIPL facilitates an investor introduction, such introduction shall generally be treated as an opportunity for communication and evaluation rather than a funding commitment. Investors may independently conduct due diligence and may accept, reject, postpone or modify their interest. RIPL cannot control an investor's decision unless RIPL itself is the investor under a separate written agreement. The applicant shall be responsible for presenting accurate business information and complying with applicable legal and regulatory requirements relating to investment discussions.
73. Investor Decision-Making
76. Evaluation and Screening
RIPL may conduct preliminary or detailed evaluation of applications submitted to a programme. Evaluation may involve review of business documents, presentations, financial information, founder information, market information, product or service descriptions and other relevant information. An applicant may be requested to provide additional clarification. Failure to provide required information within the requested timeframe may result in the application being delayed, rejected or excluded from further consideration.
77. Pitching Opportunities
79. Mentorship Services
RIPL may provide or facilitate mentorship through its employees, consultants, experts, mentors, partners or other professionals. Mentorship is intended to provide guidance and business perspectives. Mentorship does not constitute a guarantee of business success or a substitute for specialised professional advice where such advice is legally or professionally required. Different mentors may provide different views, and the participant remains responsible for deciding which recommendations, if any, should be implemented.
85. Funding Rejection and Commercial Consequences
86. Business Outcome and Refund Separation
The customer acknowledges that a commercial service may be performed successfully even if the customer does not achieve the desired business outcome. For example, failure to obtain funding, failure to attract an investor, failure to achieve expected sales, failure to acquire customers, failure to expand into a particular market or failure to achieve a projected revenue level does not automatically mean that RIPL failed to perform its agreed service. Accordingly, commercial outcome and refund eligibility are separate matters and shall be assessed according to the applicable contractual terms.
87. Customer's Responsibility for Business Information
88. Fraudulent or Misleading Applications
RIPL may reject or terminate an application where the Company reasonably believes that the applicant has provided forged documents, false financial information, misleading business claims, fabricated customer information, false ownership information, impersonation, fraudulent representations or other materially deceptive information. The Company may also preserve relevant records and take appropriate legal or contractual action where necessary. Any consequences of fraudulent conduct shall remain the responsibility of the person or entity responsible for such conduct.
91. No Guarantee of Intellectual Property Protection
While RIPL may take reasonable measures to handle submitted business information appropriately, applicants remain responsible for protecting their own intellectual property through appropriate legal mechanisms. Applicants should consider trademark registration, copyright protection, patent protection, confidentiality arrangements, NDAs or other appropriate mechanisms before publicly disclosing highly sensitive information. RIPL does not represent that participation in a programme automatically protects an applicant's intellectual property from third-party use or disclosure.
92. Business Plans and Financial Models
RIPL may assist in preparing or reviewing business plans, financial models, pitch decks or related business documentation. Such documents may contain assumptions, estimates or projections. Applicants remain responsible for reviewing the final information and ensuring that it accurately represents their business. RIPL should not be treated as responsible for undisclosed assumptions, inaccurate information supplied by the applicant or changes occurring after preparation.
93. Financial Information
Where financial information is submitted for business analysis, funding preparation or programme evaluation, the applicant confirms that it has the necessary authority to provide such information. Financial information may include revenue figures, expenses, funding requirements, financial statements, projections, banking-related information or other commercially sensitive information. RIPL may use such information for the specific business purpose for which it was provided, subject to the Privacy Policy and applicable confidentiality obligations.
94. No Investment Advice Unless Expressly Agreed
Unless expressly authorised and contracted for a specific regulated service, RIPL's general business, funding or investment-related communications should not automatically be interpreted as personalised investment advice, portfolio management, securities advice or any other regulated financial service. Users should obtain independent advice from appropriately qualified professionals where required. Any investment opportunity should be evaluated independently, including its commercial, financial, legal, tax and regulatory risks.
95. No Guarantee of Investor Returns
Where RIPL facilitates investor opportunities or discusses potential investment opportunities, no statement shall be interpreted as a guarantee of investment returns, capital appreciation, dividends, liquidity, exit opportunities or repayment unless such obligation is expressly established through a legally valid agreement. Investment outcomes depend on the relevant transaction, business performance, market conditions and other factors.
96. Business Partnerships
RIPL may facilitate or participate in business partnerships, channel partnerships, strategic collaborations, distribution relationships or other commercial arrangements. Such relationships shall be governed by their respective written agreements where applicable. No user should assume that a business discussion or preliminary proposal automatically creates a binding partnership. Commercial rights, responsibilities, revenue sharing, exclusivity, territory, termination and other terms should be expressly documented.
97. Revenue Sharing Arrangements
Where RIPL and a partner agree to a revenue-sharing arrangement, the applicable percentage, calculation method, reporting mechanism, payment schedule, exclusions, taxes, adjustments and termination conditions should be specified in the relevant written agreement. General references to revenue sharing on promotional pages shall not automatically create an enforceable entitlement until the parties have agreed upon the specific commercial arrangement.
98. Performance Targets
Where a service or programme includes performance targets, milestones or business objectives, such targets shall be interpreted according to the specific agreement. Unless expressly stated as guaranteed contractual outcomes, targets shall generally represent objectives toward which the parties intend to work. Failure to achieve a target does not automatically establish a contractual breach unless the relevant agreement expressly makes achievement a binding obligation.
99. Business Data and Third-Party Information
RIPL may rely on information obtained from third-party databases, public records, industry sources, market research, partner information or other sources. While reasonable efforts may be made to use reliable information, RIPL cannot guarantee that every third-party source is complete, accurate or continuously updated. Users should independently verify critical information before relying on it for significant business, investment or legal decisions.
100. Changes to Programmes
RIPL may modify, postpone, restructure, suspend or discontinue a programme where commercially, operationally, technically or legally necessary. Such changes may arise because of participant numbers, investor availability, funding availability, government requirements, third-party circumstances, security concerns, operational issues or other factors. Where a specific written agreement provides different rights in relation to such changes, that agreement shall apply.
101. Event Participation
102. Awards, Recognition and Opportunities
103. Promotional Statements
RIPL may use expressions such as “growth”, “scale”, “funding opportunity”, “investor connect”, “market expansion”, “business transformation”, “up to ₹5 Crore funding” or similar commercial language in promotional materials. Such expressions are intended to communicate potential opportunities and the nature of the programme and shall not override the specific legal and commercial terms applicable to an engagement. Where a promotional statement conflicts with a final signed agreement, the final written agreement shall govern to the extent legally permissible.
104. Customer Due Diligence Before Purchase
Before making a payment, accepting an offer or participating in a programme, the customer should evaluate whether the service is suitable for its objectives. The customer may ask RIPL for clarification regarding scope, timelines, commercial terms, eligibility and applicable cancellation or refund provisions before payment. Once the customer voluntarily proceeds after receiving adequate information, the customer shall remain responsible for understanding the commercial nature of the engagement.
105. No Reliance on Verbal Promises Outside Authorised Terms
RIPL shall generally be bound by commitments made by its authorised representatives within their authority. Customers should obtain written confirmation for material commercial commitments, including special discounts, guaranteed outcomes, exceptional refund commitments, additional services, funding commitments, exclusive rights or modifications to standard Terms. Verbal statements that are inconsistent with the final written agreement should not automatically be treated as amendments.
106. Customer's Responsibility for Regulatory Compliance
Each customer remains responsible for complying with laws and regulations applicable to its own business, products, services, employees, customers, taxation, licensing, advertising, intellectual property, financial activities and commercial operations. RIPL may provide business support but does not automatically assume the customer's legal or regulatory obligations. Where specialised legal, tax, accounting or regulatory advice is required, the customer should obtain advice from an appropriately qualified professional.
107. No Guarantee of Government Approval
108. No Guarantee of Market Acceptance
110. No Guarantee of Business Sale or Exit
111. Independent Decision by Investors and Partners
Investors, lenders, partners, distributors, retailers and other third parties may independently decide whether to engage with a customer. RIPL cannot force an independent third party to accept a proposal unless a specific contractual obligation legally provides otherwise. The customer acknowledges that third-party commercial decisions are outside RIPL's direct control.
112. No Automatic Exclusivity
113. Conflict of Interest
Where RIPL becomes aware of a material conflict of interest that may affect an engagement, the Company may take reasonable steps to address the conflict, including disclosure where appropriate, modification of scope, restriction of access to information, reassignment of personnel or termination of an engagement where necessary. Customers should disclose any material circumstances that could reasonably affect the Company's ability to perform the engagement appropriately.
114. Use of Third-Party Professionals
RIPL may engage or coordinate with consultants, specialists, technology providers, research providers, legal professionals, accountants, marketing professionals, investors, lenders or other third parties where appropriate. Unless a separate agreement states otherwise, such third parties may remain independently responsible for their own professional services. RIPL may coordinate the relationship without assuming responsibility for matters outside the agreed scope.
115. No Physical Material Deliverable Assumption
Unless expressly stated in a separate written agreement, RIPL's services are primarily service-based and may involve professional work, research, analysis, strategy, communication, coordination, digital support, business development, programme administration, funding assistance or other non-physical activities. Customers should not assume that any physical goods, products, equipment or material items are included merely because a service has been purchased.
116. Customer's Responsibility for Third-Party Engagements
Where a customer chooses to engage an investor, lender, technology provider, consultant, distributor, service provider or other third party introduced or identified through RIPL, the customer should conduct appropriate due diligence before entering into a separate relationship. RIPL does not automatically become responsible for the subsequent independent commercial relationship between the customer and that third party.
117. Changes in Funding or Programme Conditions
Funding conditions, investor preferences, programme structures, eligibility criteria and commercial opportunities may change over time. RIPL may update information where such changes become known. Applicants should rely on the latest official communication applicable to their programme rather than older promotional material, screenshots, social media posts or third-party statements.
118. Applicant's Obligation to Update Information
119. Suspension of Programme Benefits
Where a participant violates programme conditions, provides misleading information, fails to cooperate, breaches confidentiality, misuses programme benefits, engages in fraudulent conduct or otherwise creates a material risk to the programme, RIPL may suspend or terminate the participant's access to relevant programme benefits, subject to applicable law and the applicable programme agreement.
120. No Automatic Continuation of Programme Benefits
121. Programme Capacity
122. Application Withdrawal
An applicant may request withdrawal of an application before final selection or service commencement, subject to the applicable programme terms. Withdrawal of an application does not automatically create a refund right where the applicant has already paid a registration, processing, programme or service fee and the applicable terms provide that such amount is non-refundable. Refunds, where any, shall be determined under the dedicated cancellation and refund provisions.
123. Completion of Application
An application shall be considered complete only when the information and documents reasonably required for evaluation have been provided. RIPL may treat an incomplete application as pending, rejected, withdrawn or otherwise ineligible where the applicant does not provide required information within the applicable timeframe.
124. No Obligation to Accept Every Applicant
RIPL retains the right to determine whether it can appropriately provide a service or accept an applicant, subject to applicable law. The Company may decline an application where the proposed activity is outside its scope, creates unacceptable risk, does not meet programme criteria, lacks required documentation, conflicts with operational capacity or otherwise cannot reasonably be accepted.
125. Commercial Independence of the Customer
The customer remains an independent business or individual and is responsible for its own employees, contractors, vendors, customers, taxes, statutory obligations, commercial decisions and business risks. Nothing in a RIPL service engagement transfers ownership or management of the customer's business to RIPL unless expressly provided in a separate written agreement.
126. Responsibility for Final Documents
Where RIPL assists in preparing business plans, presentations, applications, proposals or similar documents, the customer should review the final version before submission or use. The customer remains responsible for confirming that factual statements, financial figures, ownership details and other material information are correct.
127. Responsibility for Submitted Representations
Any representation made by a customer regarding its business, finances, ownership, intellectual property, customers, revenue, market position, liabilities, funding history or other material matter shall remain the responsibility of the customer. RIPL may rely on such representations for the purpose of providing the agreed service unless it has actual knowledge of material inaccuracy or has undertaken a separate verification obligation.
128. No Guarantee of Third-Party Acceptance
A business document, pitch, proposal, application or presentation prepared or supported by RIPL may be professionally structured but cannot guarantee that a third party will accept it. Investors, lenders, customers, government bodies and other stakeholders may have their own requirements and decision-making criteria.
129. Commercial Reasonableness
The parties acknowledge that commercial engagements may involve reasonable assumptions, estimates and expectations. Both parties agree to act in good faith within the scope of the applicable agreement and to communicate material issues that may affect performance where reasonably possible.
130. Relationship with Payment and Refund Provisions
The services and programmes described in this Part 2 are subject to the payment, cancellation and refund provisions contained in these Terms. In particular, the customer acknowledges that the rejection of funding, failure to achieve an expected business result, change in business plans, change of mind, postponement, withdrawal from a programme or independent failure of a third party shall not automatically create a refund entitlement.
The detailed refund provisions shall determine when a payment is generally non-refundable, when cancellation by RIPL may result in consideration of a refund, how mutual cancellation is treated, how completed work and incurred expenses are considered, when management approval is required, and how an approved refund may be processed.
131. Priority of Specific Written Terms
132. Continuing Effect of These Provisions
134. Payment as Consideration for Services and Commercial Engagement
Payment is therefore not merely a reservation of a future possibility or a deposit that automatically becomes refundable if the customer later changes their mind. Depending upon the nature of the engagement, RIPL may allocate personnel, management time, research resources, administrative resources, technology resources, communication resources, external professional resources, programme capacity, processing capacity, or other operational resources after receiving or confirming payment. The commercial value of such resources may arise immediately upon commencement of the engagement, even if the customer has not yet received the final outcome that they originally expected.
Where a service consists of multiple stages, payment may also represent consideration for the complete process or a particular stage of the process rather than only for the final deliverable. Accordingly, the absence of a desired final result shall not by itself establish that the consideration paid was without value or that a refund is automatically due.
135. Advance Payment, Onboarding and Allocation of Resources
The customer shall therefore ensure that all relevant information is provided accurately and promptly before or immediately after payment. Delay in providing information does not automatically suspend the customer's payment obligations or create a right to cancel and obtain a refund. Where the customer causes a delay after resources have been allocated, RIPL may retain the applicable payment to the extent permitted by the agreed commercial terms and applicable law.
136. Authorised Payment Channels and Payment Verification
All payments to RIPL must be made only through payment channels, bank accounts, payment gateways, links, invoices, or other methods officially communicated or authorised by RIPL. Customers are responsible for verifying the authenticity of payment instructions before transferring money. RIPL shall not be responsible for payments made to unauthorised persons, fraudulent accounts, impersonators, unofficial intermediaries, fake websites, unauthorised payment links, personal accounts, or third parties falsely claiming to represent the Company.
A customer should retain the invoice, payment receipt, transaction reference, bank confirmation, payment-gateway confirmation, email communication, or other evidence associated with every payment. RIPL may require such information when verifying payment status, processing a cancellation request, reviewing a refund request, resolving a payment discrepancy, or investigating a disputed transaction.
Payment shall be considered successfully received only when the relevant amount has actually been credited or confirmed through the applicable payment system, bank, payment gateway, or authorised financial channel. A transaction showing as initiated, pending, failed, reversed, under verification, or debited temporarily from the customer's account shall not necessarily constitute final receipt by RIPL.
Where a payment gateway, bank, financial institution, card network, UPI provider, payment processor, or other financial intermediary imposes transaction charges, reversal charges, processing fees, foreign-exchange charges, administrative fees, or other deductions, the treatment of such charges shall depend upon the applicable commercial arrangement, the nature of the transaction, the reason for reversal or refund, and applicable law. Where legally permissible, such third-party charges may be considered while determining the amount actually available for refund.
Customers must not intentionally make duplicate payments, initiate fraudulent transactions, misuse chargeback mechanisms, submit false payment claims, or manipulate transaction records. Any suspected fraudulent activity may result in suspension of the relevant engagement and may be referred to appropriate authorities where legally required or reasonably necessary.
137. Commencement of Services and Consequences of Commencement
For the purposes of cancellation and refund evaluation, an engagement may be considered commenced when RIPL has undertaken a substantive activity connected with the customer's requested service. Commencement is not limited to the moment when a final report, document, introduction, presentation, meeting, funding opportunity, business recommendation, or other visible output is delivered.
The customer acknowledges that professional and business-support services can involve substantial invisible or internal work. Such work may include management review, internal coordination, research, data analysis, planning, resource allocation, communication, scheduling, due diligence, documentation review, internal approvals, programme administration, technology configuration, or third-party coordination. The absence of a physical product or tangible material deliverable does not mean that no service has been performed or that no cost has been incurred.
Accordingly, a customer cannot automatically demand cancellation and a full refund merely because the customer has not yet received the final output or because the customer decides not to continue after RIPL has commenced the engagement. Refund eligibility shall be determined according to the applicable written agreement, commercial terms, work already performed, resources allocated, costs incurred, reason for cancellation, company-side responsibility where applicable, and applicable law.
Where a customer requests cancellation before any substantive work has commenced, RIPL may review the request separately. Such review does not create an automatic refund entitlement. The final treatment shall depend upon the applicable commercial terms and the circumstances of the particular engagement.
138. Customer-Initiated Cancellation
Submission of a cancellation request does not itself constitute approval of cancellation or refund. RIPL may first verify whether the engagement has commenced, what work has been completed, whether resources have been allocated, whether third-party costs have been incurred, whether the customer has received or used any part of the service, and whether the applicable agreement contains specific cancellation conditions.
Where the customer has voluntarily entered into an engagement after reviewing the available service information, commercial terms, proposal, quotation, invoice, programme details, or other applicable documentation, the customer is expected to understand the nature of the service before making payment. The customer should raise material questions or seek clarification before confirming the engagement rather than relying on cancellation as an alternative to pre-payment evaluation.
RIPL may nevertheless review individual cancellation requests fairly and commercially. Such review may result in continuation, modification, transfer, partial adjustment, credit where expressly agreed, partial refund, full refund, or rejection of the refund request depending upon the circumstances. Any exceptional consideration shall not automatically establish a precedent for another customer or another engagement.
139. General Non-Refundable Nature of Commercial Payments
Unless a refund is expressly required by applicable law, specifically provided in a written agreement, or arises from a qualifying material failure attributable to RIPL, amounts paid for an engagement shall generally be treated as non-refundable once the relevant engagement has been confirmed, processing has commenced, resources have been allocated, work has begun, or the applicable service or programme has been initiated.
The non-refundable nature of a payment is based upon the commercial character of the service and the fact that RIPL may undertake work, allocate personnel, reserve capacity, incur operational expenditure, engage third parties, process applications, conduct research, or perform other activities immediately after confirmation. The customer should therefore not assume that unused time, non-attendance, a change of business circumstances, or a failure to achieve a desired commercial result automatically converts the payment into a refundable amount.
Where RIPL voluntarily approves an exception to the general non-refundable principle, that approval shall be treated as a case-specific commercial decision and shall not automatically amend the standard terms for future transactions.
140. Circumstances That Do Not Automatically Create a Refund Right
Business outcomes are affected by market conditions, customer demand, competition, pricing, founder capability, financial position, documentation, legal status, investor preferences, creditworthiness, market timing, economic conditions, government policies, third-party decisions, operational execution, technology, supply conditions, and numerous other variables.
RIPL may provide professional support intended to improve readiness, strategy, presentation, positioning, market approach, documentation, or execution, but such support cannot reasonably transform a probabilistic business opportunity into a guaranteed result. Therefore, payment for the service shall generally remain separate from the customer's ultimate commercial success.
This principle also applies where the customer personally decides not to pursue an opportunity after RIPL has completed or commenced the relevant work. The customer's decision not to proceed does not automatically mean that the service was not performed.
142. Customer Failure, Non-Cooperation and Incomplete Information
If the customer fails to provide required information, provides materially inaccurate information, submits incomplete documents, repeatedly delays responses, becomes unreachable, refuses reasonable verification, fails to attend required meetings, does not approve necessary documents, or otherwise prevents RIPL from performing the agreed service, RIPL may suspend, postpone, modify, or close the engagement subject to the applicable commercial terms.
Such customer-caused delay or non-cooperation shall not automatically create a refund entitlement. Where RIPL has already allocated resources or undertaken work before the customer becomes non-cooperative, the relevant payment may remain payable or non-refundable to the extent permitted by the agreement and applicable law.
If false, misleading, forged, manipulated, fraudulent, or materially incomplete information is discovered, RIPL may suspend or terminate the engagement immediately where reasonably necessary. RIPL may also decline to process or continue an application that presents legal, regulatory, reputational, financial, fraud, security, or compliance concerns.
The customer acknowledges that RIPL cannot reasonably guarantee an outcome based on information that is incomplete, inaccurate, outdated, misleading, or materially incorrect. Where an outcome is adversely affected by information supplied by the customer, the customer shall not treat such outcome as evidence of RIPL's failure to perform the service.
143. Cancellation by RIPL
RIPL may suspend, modify, postpone, decline, or terminate an engagement where reasonably necessary due to operational requirements, legal or regulatory requirements, compliance concerns, security concerns, fraud concerns, capacity limitations, third-party dependency, programme changes, business restructuring, force majeure, customer misconduct, inaccurate information, non-payment, repeated non-cooperation, reputational risk, or other legitimate commercial circumstances.
Where RIPL cancels an engagement for a reason materially attributable to RIPL and the cancellation substantially prevents RIPL from providing the principal service expressly agreed with the customer, the customer may submit a written request for refund consideration. Such request shall be reviewed based on the specific agreement, amount paid, work completed, resources allocated, costs incurred, third-party obligations, reason for cancellation, and applicable law.
Cancellation by RIPL does not automatically mean that the entire amount paid must be refunded. For example, if substantial services have already been completed before cancellation, RIPL may consider the value of completed work and permissible costs when determining whether any amount remains refundable.
Where RIPL's cancellation arises from circumstances outside its reasonable control, including third-party decisions, government restrictions, legal requirements, technology failures outside reasonable control, force majeure, external programme changes, or similar circumstances, refund treatment may differ from a cancellation caused by a material service failure attributable to RIPL.
Where appropriate, RIPL may offer an alternative service date, modified scope, transfer, continuation under revised conditions, partial completion, credit where expressly agreed, partial refund, or another commercially reasonable resolution instead of immediate termination.
144. Material Company-Side Issue
For refund evaluation purposes, a “Material Company-Side Issue” means a significant circumstance directly attributable to RIPL that prevents or substantially prevents RIPL from providing the principal service expressly agreed under a specific written arrangement. The concept is intended to distinguish a genuine failure of the agreed service from dissatisfaction with business results, external events, customer decisions, or circumstances outside RIPL's reasonable control.
A Material Company-Side Issue may include a situation in which RIPL expressly accepts responsibility for delivering a defined service but, without a valid contractual or legal reason, materially fails to provide that principal service despite receiving the required customer cooperation and payment. The assessment shall consider the actual scope agreed between the parties rather than assumptions based on promotional language, informal conversations, general expectations, or business outcomes.
Likewise, a delay caused by the customer's failure to provide information, a third-party dependency, government restriction, force majeure event, inaccurate information supplied by the customer, payment failure, legal restriction, or other circumstance outside RIPL's reasonable control shall not automatically constitute a Material Company-Side Issue.
Where a customer believes that a Material Company-Side Issue has occurred, the customer should provide a written explanation identifying the agreed service, the relevant contractual obligation, the alleged failure, supporting records, payment details, and the remedy requested. RIPL may review the matter internally and determine an appropriate resolution subject to the agreement and applicable law.
145. Refund Review and Management Approval
A refund request shall be treated as a request for review and not as an automatic refund instruction. RIPL may examine the relevant invoice, payment record, service agreement, proposal, quotation, application, onboarding information, correspondence, work status, internal records, customer submissions, third-party obligations, and other relevant evidence before reaching a decision.
The review may consider whether the service commenced, what work has been completed, whether resources were allocated, whether the customer received or used any part of the service, whether external or third-party costs were incurred, whether the cancellation was customer-initiated or company-initiated, whether the reason for cancellation is attributable to RIPL, whether the customer complied with its obligations, and whether any refund is required by the applicable agreement or law.
For exceptional refund requests, management approval may be required. Management may consider the commercial circumstances, fairness between the parties, actual work completed, operational costs, administrative burden, third-party expenses, payment-processing deductions, customer cooperation, contractual commitments, and applicable legal requirements.
Management discretion does not mean that RIPL may disregard mandatory law or a binding contractual obligation. Any discretionary refund shall therefore remain subject to applicable law and the specific rights and obligations created by the relevant agreement.
A management-approved refund may be full or partial. The approval may also contain conditions reasonably necessary to complete verification, close the engagement, reconcile accounts, reverse duplicate payments, confirm bank details, or resolve outstanding documentation.
146. Refund Calculation
Where RIPL determines that a refund is appropriate, the refundable amount may be calculated after considering the amount actually received by RIPL, the specific commercial arrangement, the services already performed, work in progress, resources allocated, administrative processing, third-party costs, payment-processing charges, applicable deductions, taxes where relevant, contractual commitments, and other amounts that may lawfully be retained.
A full refund shall not be presumed merely because the customer has not used every component of a service or programme. If the engagement has been partially performed, the value of the completed portion may be considered in determining the amount, subject to the applicable agreement and law.
Similarly, where an engagement has been substantially performed and the customer subsequently decides not to continue because of changed circumstances or dissatisfaction with business results, RIPL may determine that no refund is payable, provided such treatment is consistent with the applicable contractual terms and law.
Where payment has been received through a third-party payment processor, RIPL may need to reconcile the transaction before processing any refund. If the processor, bank, or payment gateway has retained or charged amounts that are lawfully non-recoverable, such amounts may be considered in the refund calculation where permitted.
147. Refund Processing Timeline — Up to 60 Working Days
Where RIPL approves a refund, the refund may take up to 60 Working Days to process from the date on which the refund has been formally approved and all information reasonably required for verification and payment processing has been received.
The 60 Working Day period is intended to allow sufficient time for transaction verification, internal approval, account reconciliation, documentation review, payment-gateway coordination, bank processing, third-party reconciliation, tax or accounting review where applicable, and other administrative procedures that may reasonably be required before funds are released.
The refund period shall not necessarily begin from the date on which the customer first sends an informal request. If the customer has not provided required information, has supplied inconsistent bank details, has not completed verification, or has failed to provide documents reasonably required to process the refund, the processing timeline may be affected until the required information is received and verified.
Where a refund is approved, RIPL may ordinarily process it through the original payment method or another verified payment method where the original route is unavailable or unsuitable. Customers may be required to provide or confirm bank account details, transaction references, identification information, invoice information, or other reasonable verification details.
The stated processing period is a maximum administrative framework and does not create a promise that every approved refund will take exactly 60 Working Days. RIPL may process approved refunds earlier where operationally feasible. Conversely, delays caused by banks, payment gateways, financial institutions, incorrect customer information, regulatory requirements, transaction disputes, or other external systems may affect the actual crediting date.
For this purpose, “Working Days” means days on which the relevant RIPL administrative operations are ordinarily functioning, excluding applicable weekly non-working days and public or operational holidays, as relevant to the processing of the particular refund.
148. Third-Party Costs and External Commitments
Certain RIPL services may involve coordination with external professionals, technology providers, payment processors, consultants, platforms, event organisers, communication providers, investors, financial institutions, programme partners, or other third parties. Where RIPL incurs a legitimate third-party cost or enters into an external commitment in connection with a customer's engagement, such cost may be considered when evaluating cancellation and refund requests, subject to the applicable agreement and law.
The customer acknowledges that some third-party services cannot be cancelled or recovered once initiated. Examples may include payment processing, platform fees, application processing, event registration, external professional support, technical services, scheduling commitments, or other services procured specifically for the customer's engagement.
RIPL shall not be required to absorb an external cost merely because the customer subsequently changes its decision, withdraws an application, stops responding, changes its business plan, or decides not to proceed, where the cost was reasonably incurred in connection with the agreed engagement and is legally and contractually retainable.
However, RIPL shall not use third-party costs as a blanket basis to deny a refund where applicable law or an express written agreement requires a refund. The actual circumstances and applicable contractual provisions shall remain relevant.
Where third-party services are separately contracted directly between the customer and the third party, the customer's refund rights and cancellation obligations may be governed by that third party's terms rather than RIPL's terms. RIPL may assist with communication or coordination where appropriate but shall not automatically assume liability for a third party's independent commercial decisions.
149. Mutual Cancellation and Settlement
RIPL and a customer may mutually agree in writing to terminate, modify, suspend, transfer, restructure, or otherwise settle an engagement. Such mutual arrangement should ideally specify the effective date, services already completed, outstanding obligations, payment status, confidentiality obligations, intellectual property treatment where relevant, data handling, refund or settlement amount if any, and any continuing obligations.
Mutual cancellation does not automatically mean that all payments must be returned. The parties may agree that the completed portion of the service is retained as consideration, that a partial amount is refunded, that an alternative service is provided, that an amount is adjusted against another engagement, or that the account is closed without further payment or refund.
Where a settlement is reached, it should be recorded through an authorised written communication or agreement. Informal statements by employees, sales representatives, consultants, or other personnel should not be treated as a final settlement unless the person is authorised to approve such arrangement.
A mutual cancellation arrangement may also contain specific conditions relating to the customer's continued confidentiality obligations, use of RIPL intellectual property, deletion or return of confidential information, outstanding invoices, third-party obligations, pending applications, or other matters that survive termination.
The purpose of this provision is to allow the parties to resolve individual commercial situations pragmatically without creating an assumption that every cancellation must be treated identically. Each engagement may have different commercial circumstances, work stages, expenses, and contractual commitments.
150. No Automatic Cash Refund
RIPL shall ordinarily process an approved refund through an identifiable and verifiable payment method rather than making an informal cash payment. The objective is to maintain a proper transaction record, reduce payment disputes, support accounting reconciliation, and protect both the customer and the Company against unauthorised or fraudulent refund claims.
A customer requesting a refund may be required to provide payment details, transaction records, invoice information, identity verification, bank account information, or other reasonable evidence necessary to establish that the requesting person or entity is the legitimate payer or authorised recipient.
Where the original payment was made by a company, organisation, partnership, institution, or another legal entity, RIPL may require confirmation that the person requesting the refund is authorised to receive or direct the payment on behalf of that entity.
RIPL may refuse to process a refund to an unrelated third-party account unless such payment is legally permissible and adequately verified. This is intended to prevent fraudulent diversion of funds and does not limit any legitimate refund rights.
Where the original payment method cannot receive a refund, RIPL may request an alternative verified payment method. The customer shall be responsible for providing accurate details. Any delay resulting from incorrect or incomplete customer-provided payment information may affect the refund processing timeline.
151. Chargebacks, Payment Disputes and Good-Faith Resolution
Where a customer believes that a payment has been incorrectly charged, duplicated, unauthorised, or otherwise disputed, the customer is encouraged to contact RIPL through the official communication channel before initiating a payment dispute or chargeback, where reasonably possible. This allows the Company to investigate the transaction, review the relevant records, and attempt an appropriate resolution.
This provision does not prevent a customer from exercising any lawful right available through a bank, payment gateway, card network, consumer forum, regulator, court, or other competent authority. It is intended to encourage direct communication where a commercial issue can reasonably be resolved without unnecessary escalation.
RIPL may provide transaction records, invoices, service communications, application records, payment confirmations, cancellation records, or other relevant information to a payment processor or financial institution when responding to a genuine payment dispute.
Customers shall not knowingly submit false statements, misrepresent the nature of a service, falsely claim that a payment was unauthorised, or otherwise manipulate a dispute process to recover amounts that are contractually or legally payable.
Where a chargeback or payment dispute is initiated, RIPL may temporarily suspend the related engagement, subject to applicable law and the circumstances of the dispute, until the payment status is clarified. Any final treatment shall depend upon the outcome of the relevant payment process, contractual rights, applicable law, and verified transaction records.
152. Refund Policy Does Not Guarantee Business Results
The refund framework contained in these Terms & Conditions must not be interpreted as a guarantee of any particular business result. A customer may pay for a service that is properly performed even though the customer's business does not achieve the commercial objective originally desired.
Such outcomes do not automatically establish that RIPL failed to perform the service. The question of refund eligibility shall therefore be determined by the agreed service obligation rather than solely by the commercial result achieved by the customer.
Nothing in this section excludes any refund, remedy, or statutory protection that cannot lawfully be excluded or that is expressly provided under a specific written agreement.
153. Exceptional Refunds and No Precedent
RIPL may, in appropriate circumstances, consider an exceptional refund, partial refund, adjustment, transfer, credit, rescheduling, alternative service, or other commercial resolution even where the standard terms would ordinarily treat the payment as non-refundable.
Any such decision shall be based on the particular facts and may consider factors including the reason for cancellation, stage of service, work completed, customer cooperation, operational circumstances, third-party commitments, management assessment, fairness, commercial practicality, and applicable law.
An exceptional refund or concession shall not automatically create a continuing right for the same customer or any other customer. RIPL reserves the right to evaluate each transaction independently because different services, programmes, payment structures, work stages, costs, and contractual arrangements may produce different outcomes.
Similarly, the fact that another customer may have received a partial or full refund does not automatically establish that a different customer is entitled to the same treatment. Each case shall be determined according to the applicable agreement, facts, evidence, and law.
This provision is intended to preserve RIPL's ability to resolve unusual situations commercially while maintaining consistency in its standard contractual framework.
154. Preservation of Statutory and Contractual Rights
Nothing in this Part 3 is intended to exclude, restrict, waive, or override any legal right, remedy, protection, obligation, or requirement that cannot lawfully be excluded or contracted out of under applicable law.
Where a specific written agreement between RIPL and a customer contains a refund, cancellation, termination, payment, or settlement provision that expressly differs from these general Terms & Conditions, the specific written provision shall apply to the extent of the inconsistency, subject to applicable law.
Where any provision of this Part 3 is found to be invalid, unenforceable, or legally inapplicable in a particular circumstance, the remaining provisions shall continue to operate to the maximum extent legally permissible.
The purpose of these provisions is to establish a clear commercial framework while recognising that individual services may have separate contracts, proposals, invoices, programme rules, application terms, or other documents containing additional obligations.
Customers are encouraged to review all service-specific terms before making payment. By proceeding with a commercial engagement, the customer acknowledges that payment, cancellation, service commencement, refund eligibility, and termination may be governed by a combination of these Terms & Conditions and the specific documents applicable to the engagement.
155. Final Commercial Understanding Regarding Payments and Refunds
By making a payment to RIPL, the customer acknowledges that the payment is connected to a defined commercial service, programme, process, or engagement and is not, by itself, a guarantee of a particular future result. The customer further acknowledges that RIPL may begin work, allocate resources, undertake administrative activity, conduct research, review information, process applications, coordinate with third parties, or perform other service-related activities after confirmation of the engagement.
At the same time, RIPL does not intend these provisions to eliminate legitimate legal remedies or obligations. Where applicable law, a specific written agreement, or a qualifying material failure attributable to RIPL creates a refund or other remedy, that matter shall be evaluated accordingly.
Where a refund is approved, RIPL may require verification and may process the approved amount through an appropriate payment channel. The processing period may extend up to 60 Working Days after formal approval and completion of the required verification and documentation process.
These payment and refund provisions should be read together with the remaining sections of the Terms & Conditions, including provisions relating to intellectual property, confidentiality, privacy, third-party services, limitation of liability, termination, dispute resolution, governing law, and other applicable legal provisions.
156. Intellectual Property Rights — General Principle
All intellectual property appearing on or associated with the Rishishwar Industry Private Limited website, digital platforms, business communications, programmes, services, presentations, proposals, research frameworks, strategic methodologies, business models, designs, graphics, logos, trademarks, service names, written content, videos, photographs, software interfaces, databases, documents, templates, processes, systems, methodologies, training materials, internal frameworks, and other original or proprietary content shall remain the property of RIPL or the respective lawful owner, unless a different ownership arrangement has been expressly established through a separate written agreement.
RIPL may use certain proprietary frameworks, processes, methodologies, templates, systems, commercial approaches, research techniques, analytical models, strategic structures, business-development methods, or internal operating procedures while providing services. Unless expressly transferred through a written agreement, the intellectual property underlying such frameworks shall remain with RIPL even where the customer receives a service output based upon those frameworks.
Nothing in a proposal, presentation, consultation, programme, pitch, strategy discussion, business meeting, funding discussion, or other engagement shall be interpreted as an implied assignment of intellectual property rights. Any assignment, licence, transfer, or exclusive right must be expressly documented in writing and must identify the relevant intellectual property, scope of rights, duration, territory, permitted use, and other applicable conditions.
157. Ownership of Website Content
The website and digital properties operated by RIPL may contain written descriptions, business information, articles, service explanations, research-based content, graphics, illustrations, photographs, videos, logos, icons, layouts, design elements, downloadable documents, forms, tables, charts, software elements, databases, and other content created, commissioned, licensed, or lawfully obtained by RIPL.
Such content is intended primarily for information, communication, business engagement, and service-related purposes. Unless expressly permitted by RIPL or otherwise allowed under applicable law, users shall not reproduce, republish, modify, distribute, sell, license, publicly display, commercially exploit, reverse engineer, scrape, systematically copy, create derivative works from, or otherwise misuse substantial portions of the website content.
Where third-party content is displayed on the website, ownership may remain with the relevant third party. RIPL's publication or display of such content does not necessarily mean that RIPL owns it. Users must respect the intellectual property rights and applicable terms of the original owner.
If a user believes that content appearing on the website infringes a legitimate intellectual property right, the user may notify RIPL with sufficient information to identify the relevant material, the claimed right, the basis of the claim, and appropriate supporting documentation. RIPL may review and take appropriate action based on the circumstances and applicable law.
158. RIPL Trademarks, Logos and Brand Identity
The name “Rishishwar Industry Private Limited”, “RIPL”, associated brand names, logos, visual identities, taglines, programme names, service names, symbols, design elements, and other brand identifiers used by RIPL may constitute trademarks, trade names, intellectual property, proprietary business identifiers, or protected commercial assets of RIPL or their respective owners.
No user shall use RIPL's name, logo, trademark, programme identity, visual identity, or other brand asset in a manner that falsely suggests sponsorship, partnership, endorsement, authorisation, employment, representation, investment, certification, or official affiliation without prior written permission.
Users shall not alter, distort, recreate, imitate, register, claim ownership of, or attempt to obtain independent rights in RIPL's trademarks or confusingly similar identifiers. Any unauthorised use may be addressed through appropriate legal or commercial remedies available under applicable law.
159. Business Plans, Proposals and Strategic Documents
During the course of a business engagement, RIPL may prepare, review, analyse, structure, edit, develop, or assist with business plans, pitch decks, strategic documents, market assessments, business proposals, sales plans, financial models, investor materials, funding documents, research outputs, operational frameworks, or similar business documents.
The ownership and permitted use of such documents shall depend upon the applicable service agreement, proposal, commercial terms, and the nature of the underlying information. Customer-specific business information supplied by the customer generally remains the customer's information, while RIPL's proprietary methodologies, templates, frameworks, processes, analytical structures, pre-existing intellectual property, and independently developed tools remain RIPL's property unless otherwise agreed.
Customers shall not represent RIPL-created strategic frameworks or proprietary methods as independently developed by the customer where such representation would falsely misappropriate RIPL's intellectual property.
The customer is responsible for reviewing business documents before using them for external submission, investor communication, regulatory filing, financing application, government submission, or other legally significant purposes. RIPL's preparation or assistance does not automatically constitute legal certification, financial audit, statutory certification, or regulatory approval unless expressly agreed.
160. Customer-Provided Intellectual Property
Customers may provide RIPL with business names, logos, trademarks, photographs, documents, product information, software, designs, business plans, financial information, databases, research, written material, videos, presentations, customer lists, market information, or other intellectual property for the purpose of receiving services.
By providing such material, the customer represents that, to the best of the customer's knowledge and authority, the customer has the necessary rights, permissions, licences, or authorisations to provide the material to RIPL for the intended purpose.
The customer remains responsible for ensuring that customer-provided material does not unlawfully infringe the rights of another person or entity. RIPL does not automatically assume responsibility for verifying ownership of every item supplied by a customer.
Where RIPL uses customer-provided content solely for the agreed service, such use shall be limited to the purpose reasonably necessary to perform the engagement, subject to the applicable agreement and Privacy Policy.
If a customer provides third-party material without appropriate permission and such material creates an intellectual property dispute, claim, restriction, or legal issue, the customer may be responsible for the consequences to the extent permitted by applicable law and the relevant agreement.
RIPL may request replacement, clarification, permission evidence, or removal of questionable material where reasonably necessary to reduce legal, operational, reputational, or compliance risks.
161. User-Generated Content and Submissions
Submission of content does not automatically transfer ownership to RIPL unless a specific programme rule, agreement, licence, or written arrangement expressly provides for such transfer.
Users should avoid submitting confidential information through a public-facing form unless the form specifically indicates that confidential submission is intended. Information submitted publicly may not receive the same level of confidentiality as information submitted through an expressly confidential channel.
162. Confidential Information — Meaning and Scope
For the purposes of these Terms & Conditions, “Confidential Information” may include non-public business information disclosed by a customer or RIPL in connection with a commercial engagement, where the nature of the information or circumstances of disclosure reasonably indicate that it should be treated as confidential.
Such information may include business strategies, financial information, pricing structures, customer information, supplier information, business plans, operational processes, market research, internal reports, technology information, non-public product information, investor discussions, funding information, contractual information, internal communications, commercial negotiations, proprietary methods, trade secrets, or other sensitive business information.
Confidential Information does not automatically include information that is already publicly available through lawful means, becomes publicly available without breach of a confidentiality obligation, was lawfully known by the receiving party before disclosure, is independently developed without use of the confidential information, or is lawfully obtained from a third party without a confidentiality restriction.
The determination of confidentiality shall depend upon the nature of the information, the circumstances of disclosure, the applicable agreement, and applicable law.
Confidentiality obligations shall not prevent a party from making disclosures required by law, court order, government authority, regulatory requirement, legal process, or other mandatory obligation, provided that disclosure is limited to what is legally required where reasonably practicable.
163. Protection of Customer Confidential Information
Confidential business information may need to be accessed by authorised personnel, professional advisers, service providers, technology providers, programme administrators, or other persons involved in performing the agreed service. Such access shall be limited to circumstances where it is reasonably necessary for the relevant purpose, subject to applicable confidentiality and data-handling requirements.
Customers acknowledge that no ordinary electronic communication system can provide an absolute guarantee against unauthorised access, interception, technical failure, cyberattack, accidental disclosure, or other security event. RIPL shall take reasonable measures appropriate to the nature of the information and its operational environment, but cannot promise absolute security.
Customers should therefore avoid unnecessarily submitting highly sensitive information through unsecured or inappropriate channels. Where a particular service requires sensitive information, RIPL may specify an appropriate submission method.
Confidentiality obligations shall continue according to the applicable agreement and the nature of the information, subject to applicable law and legitimate disclosure requirements.
164. Protection of RIPL Confidential Information
RIPL may disclose confidential or commercially sensitive information to a customer during consultations, business discussions, programme activities, strategy sessions, funding discussions, technology engagements, partnership discussions, or other commercial interactions.
The customer shall not disclose, reproduce, commercially exploit, publish, distribute, sell, transfer, or otherwise misuse RIPL's confidential information except to the extent reasonably necessary for the agreed engagement or expressly permitted in writing.
Where a customer needs to share RIPL information with employees, advisers, consultants, investors, professional representatives, or other authorised persons, the customer should ensure that those persons are subject to appropriate confidentiality obligations.
RIPL's confidential information shall not be used to develop a competing service, reproduce proprietary frameworks, misappropriate business methods, bypass contractual relationships, or otherwise obtain an unfair commercial advantage from information disclosed solely for the purpose of the engagement.
Nothing in this section prevents the customer from using general knowledge, skills, experience, or information that is lawfully available to the public and does not constitute RIPL's protected confidential information.
Where disclosure is legally required, the customer may make the required disclosure to the extent legally necessary.
166. Research, Methodologies and Know-How
RIPL may develop and use research methodologies, analytical frameworks, strategic models, business assessment processes, sales-development techniques, market-entry frameworks, funding-readiness structures, evaluation criteria, internal checklists, operational approaches, and other forms of professional know-how.
Such methodologies may be applied across multiple engagements because professional service providers commonly use general skills and reusable systems developed through experience. A customer receiving a service does not automatically acquire ownership of the underlying professional know-how.
Where a particular customer has contributed confidential information that is incorporated into a customer-specific output, RIPL shall treat such information according to the applicable confidentiality and contractual obligations.
However, RIPL may continue to use general knowledge, experience, skills, concepts, methods, techniques, and professional know-how that do not disclose the customer's confidential information or unlawfully reproduce the customer's proprietary material.
Nothing in these Terms & Conditions shall prevent RIPL from continuing its ordinary business operations, serving other customers, developing general methodologies, or applying independently developed professional knowledge, provided that RIPL respects applicable confidentiality, intellectual-property, privacy, and contractual obligations.
167. Third-Party Intellectual Property
RIPL may use or display third-party software, fonts, images, icons, libraries, platforms, APIs, databases, trademarks, content, tools, technology, or other intellectual property while operating its website or providing services.
Ownership of such third-party intellectual property remains with the relevant owner. RIPL's use of third-party intellectual property does not transfer ownership to customers.
Customers must comply with applicable third-party licence terms where they receive access to third-party tools or content through an RIPL service.
Where a customer requests RIPL to incorporate third-party content into a business document, website, presentation, advertisement, pitch, social media post, software project, or other output, the customer may be responsible for ensuring that the required rights or licences exist where the customer has supplied or specifically requested the material.
RIPL may replace or remove third-party content where a licence expires, a provider changes its terms, a rights-holder objects, the content becomes unavailable, or continued use creates a legal or operational concern.
168. Confidentiality and Third-Party Disclosure
Certain RIPL engagements may require interaction with investors, funding partners, financial institutions, programme partners, technology providers, consultants, professional advisers, vendors, or other third parties.
Where disclosure of customer information is reasonably necessary for the agreed service, RIPL may share relevant information to the extent permitted by the applicable agreement, customer authorisation, Privacy Policy, or law.
RIPL shall not interpret a customer's request for funding assistance or investor introduction as a requirement to disclose every piece of confidential business information. Information sharing should generally be limited to what is reasonably relevant to the intended purpose.
Customers should understand, however, that once information is lawfully shared with an independent third party, RIPL may not control the third party's independent systems, decisions, policies, or security practices. The third party may also require its own documentation or disclosure before considering an opportunity.
Where appropriate, customers may be informed about the nature or purpose of a proposed disclosure, particularly where the information is sensitive or the disclosure is material to the service.
169. Documents, Records and Copies
RIPL may maintain copies or records of documents, communications, applications, invoices, proposals, agreements, business information, service records, payment information, correspondence, programme records, and other information reasonably required for operational, accounting, legal, compliance, security, dispute-resolution, or business purposes.
The retention period may vary depending upon the nature of the record, applicable law, contractual obligations, legitimate business requirements, accounting requirements, dispute requirements, or security considerations.
A customer may request copies of relevant documents that the customer is legally entitled to receive, subject to identity verification, confidentiality obligations, third-party rights, intellectual property restrictions, legal requirements, and technical feasibility.
RIPL may decline to provide internal proprietary documents, confidential internal communications, internal evaluation criteria, security-sensitive records, information belonging to another customer, privileged material, or other information that cannot lawfully or appropriately be disclosed.
Where a customer requires a particular document for a regulatory, legal, financing, or commercial purpose, the customer should make the request sufficiently in advance to allow reasonable processing.
170. No Implied Transfer of Intellectual Property
Payment for an RIPL service does not, by itself, transfer ownership of RIPL's intellectual property to the customer. Any ownership transfer must be expressly documented.
Similarly, receiving a presentation, report, business plan, strategy document, research output, pitch deck, analysis, website component, technology output, or other service result does not necessarily transfer ownership of the tools, frameworks, templates, systems, methodologies, source materials, or underlying intellectual property used to create it.
Where an engagement expressly provides for transfer of certain intellectual property, the transfer shall be limited to the rights expressly identified in the relevant agreement. Any rights not expressly transferred shall remain with the original owner to the extent permitted by law.
Customers shall not infer intellectual property ownership merely because they paid for the service. The commercial consideration may represent payment for professional time, expertise, service execution, access, analysis, preparation, implementation, or use rights rather than outright ownership.
This distinction is particularly relevant for reusable business frameworks, templates, analytical structures, software components, internal systems, research methodologies, strategic models, and proprietary processes.
171. Restrictions on Copying and Commercial Reuse
Users shall not systematically copy RIPL's website content, service descriptions, research frameworks, business templates, programme structures, presentations, proprietary documents, graphics, videos, photographs, or other protected content for use in a competing commercial operation without appropriate permission.
This restriction includes substantial copying through manual reproduction, automated scraping, data extraction, screen capture at scale, website mirroring, database extraction, unauthorised downloading, republication, or other methods intended to reproduce RIPL's proprietary content.
Normal reference to publicly available factual information is not intended to be prohibited where such use is independently lawful. The restriction primarily concerns unauthorised reproduction or commercial exploitation of protected content.
RIPL may take appropriate action where systematic copying or misuse materially affects its intellectual property, business operations, reputation, or commercial interests, subject to applicable law.
Nothing in this provision is intended to restrict legitimate rights such as lawful quotation, fair dealing, statutory exceptions, or other rights that cannot lawfully be excluded.
172. Confidentiality After Completion or Termination
Confidentiality obligations may continue after a service, programme, application, consultation, partnership, funding process, or other commercial engagement ends.
Termination does not automatically make previously confidential information public. Each party should continue to protect information that remains confidential under the applicable agreement or law.
Where requested and legally appropriate, a party may be required to return, delete, or securely dispose of certain confidential information, subject to legitimate requirements to retain records for accounting, legal, compliance, security, dispute-resolution, or other lawful purposes.
RIPL may retain information where retention is required or reasonably necessary for legal compliance, accounting, fraud prevention, security, contractual records, dispute management, legitimate business purposes, or other lawful requirements.
Similarly, customers shall not use confidential RIPL information after termination to obtain an unfair competitive advantage, reproduce proprietary systems, or interfere with RIPL's legitimate business interests.
173. Relationship Between Confidentiality and Privacy
Confidentiality and privacy are related but distinct obligations. Confidentiality primarily concerns the appropriate handling of non-public information, while privacy concerns the collection, use, processing, storage, sharing, retention, and protection of personal information.
RIPL's handling of personal information shall additionally be governed by its Privacy Policy and applicable data-protection requirements.
Where customer information contains both personal information and confidential business information, RIPL may apply both privacy and confidentiality principles as appropriate.
174. Intellectual Property Complaints and Disputes
Any person who believes that RIPL's website, programme, service output, publication, or other content unlawfully uses their intellectual property should communicate the concern through an appropriate official channel with sufficient details to allow RIPL to investigate.
The complaint should, where applicable, identify the allegedly infringing content, the intellectual property right claimed, the basis of ownership or authority, the location of the disputed material, supporting documentation, and the remedy requested.
RIPL may investigate the complaint and may take appropriate action depending upon the circumstances, including requesting additional information, temporarily reviewing access, modifying or removing content where appropriate, seeking clarification, or responding to the complainant.
A complaint does not automatically establish infringement. RIPL may require reasonable evidence before taking substantive action.
Nothing in this section limits any lawful right of a rights-holder to approach an appropriate court, authority, regulator, platform, or other competent body.
175. Continuing Effect of Intellectual Property and Confidentiality Provisions
The intellectual property, confidentiality, permitted-use, non-misuse, records, and related provisions contained in this Part may continue to apply after termination, completion, cancellation, expiry, or discontinuation of the customer's engagement to the extent necessary to protect legitimate intellectual property, confidential information, proprietary business interests, and continuing contractual obligations.
Where the parties have entered into a separate confidentiality agreement, intellectual property agreement, non-disclosure agreement, technology agreement, service agreement, programme agreement, or other specific contract, that agreement shall be read together with these Terms & Conditions and shall prevail to the extent of any valid inconsistency.
The continuing application of these provisions is intended to protect legitimate rights without restricting information that has lawfully entered the public domain or rights that cannot legally be restricted.
176. Relationship Between These Terms and the Privacy Policy
The Company's Privacy Policy describes the Company's approach to personal information and data handling in greater detail. These Terms & Conditions govern the broader contractual relationship between RIPL and users, customers, applicants, founders, businesses, partners, and other persons interacting with the Company. Accordingly, these Terms and the Privacy Policy should be read together.
Where the Privacy Policy provides specific information regarding collection, use, retention, sharing, security, cookies, communication, or personal-data practices, those provisions shall apply to the relevant data-processing activity. Where these Terms establish contractual obligations relating to the customer's use of the website, services, programmes, intellectual property, payment, cancellation, confidentiality, or other commercial matters, those contractual provisions shall continue to apply.
Nothing in these Terms is intended to remove or restrict a right or protection that applicable data-protection or privacy law requires the Company to provide. Similarly, nothing in the Privacy Policy shall be interpreted as creating a commercial refund, service-level guarantee, funding guarantee, investment guarantee, or other contractual promise unless expressly stated.
By using the website, submitting information, applying for a programme, requesting a service, communicating with RIPL, or entering into a commercial engagement, the user acknowledges that information may be processed as reasonably necessary for the relevant purpose, subject to the applicable Privacy Policy, contractual terms, consent requirements, and law.
177. Categories of Information That May Be Collected
Depending upon the nature of the interaction, RIPL may receive or collect different categories of information. The actual information collected will depend upon the service, form, programme, application, website functionality, communication channel, or commercial relationship involved.
Such information may include basic identity and contact information such as name, email address, mobile number, business address, city, state, country, designation, organisation name, and other contact details. Business-related interactions may also require information relating to the organisation, business model, industry, products or services, market presence, sales activity, distribution network, operational requirements, business objectives, or expansion plans.
Technical information may also be generated when users access digital platforms, including IP address, browser information, device information, operating system, approximate usage information, pages accessed, referring information, timestamps, interaction data, and technical logs, depending upon the technologies deployed.
Not every user will be required to provide every category of information. RIPL may request only the information reasonably necessary for the relevant purpose, subject to applicable law and the Company's operational requirements.
Where a user chooses not to provide information that is necessary for a requested service or application, RIPL may be unable to process the request, assess eligibility, provide the relevant service, complete verification, communicate effectively, or proceed with the relevant commercial engagement.
178. Information Submitted Through Website Forms
Information submitted through such forms may be used for the purpose identified at the point of collection or for reasonably related operational purposes. For example, information submitted through a business enquiry may be used to understand the user's requirement, route the enquiry to an appropriate team, communicate with the user, prepare a proposal, assess service suitability, or arrange a follow-up discussion.
Users are responsible for ensuring that information submitted through forms is accurate and lawful. A user should not submit information belonging to another person without appropriate authority.
Where a form requests sensitive or commercially important information, users should review the relevant notice, instructions, or Privacy Policy before submission. RIPL may not be able to guarantee confidentiality for information intentionally submitted through a public communication channel that is not designed for confidential information.
179. Business and Commercial Information
Such information may include business models, pricing, customer information, market strategy, sales data, operational information, distribution information, supplier information, financial information, business plans, expansion plans, investment requirements, organisational information, performance data, and other information supplied for the purpose of providing services.
RIPL may process such information to understand the customer's requirements, conduct research, prepare analysis, formulate strategies, evaluate opportunities, provide business recommendations, prepare proposals, support funding readiness, assist with investor communication, or otherwise perform the agreed service.
The customer remains responsible for ensuring that the information supplied is accurate, lawful, and appropriate for disclosure. RIPL may rely upon information supplied by the customer when performing business analysis or preparing service outputs.
Where commercially sensitive information is shared with authorised third parties for a legitimate service purpose, the sharing shall be subject to the applicable contractual arrangement, Privacy Policy, customer authorisation where required, and applicable law.
RIPL does not guarantee that every business communication channel is suitable for highly sensitive trade secrets or legally privileged information. Customers requiring a particular level of confidentiality should communicate that requirement before providing such information and use any secure channel specifically designated by RIPL.
180. Purpose of Data Processing
RIPL may process information for purposes reasonably connected with its business operations and the services requested by users. Such purposes may include responding to enquiries, communicating with customers, processing applications, providing services, conducting business research, analysing requirements, preparing proposals, performing due diligence, evaluating eligibility, managing programmes, coordinating meetings, processing payments, maintaining records, preventing fraud, improving website functionality, providing customer support, managing business relationships, and complying with legal obligations.
For sales and market-expansion services, information may be used to understand the customer's market, business objectives, distribution requirements, sales processes, retailer or distributor network, target market, operational challenges, or other relevant commercial requirements.
RIPL may also use information for internal administration, accounting, auditing, security, risk management, fraud prevention, dispute resolution, compliance, legal protection, business continuity, and legitimate operational purposes.
The Company shall seek to process information in a manner reasonably connected with the purpose for which it was obtained and subject to applicable law. Where a separate consent or notice is required for a particular processing activity, RIPL may obtain or provide such consent or notice through the relevant channel.
181. Consent and User Authorisation
Where consent is required for a particular processing activity, RIPL may obtain consent through website forms, application confirmations, checkboxes, electronic communications, programme registrations, written agreements, digital interfaces, or other appropriate mechanisms.
A user's submission of information does not automatically mean that every possible use of that information is authorised. RIPL shall consider the purpose of collection, the applicable notice, the nature of the information, the relevant service, contractual requirements, legitimate business purposes, and applicable law.
Where a user voluntarily requests a service that necessarily requires processing of certain information, the processing may also be necessary for performance of the requested service or contractual engagement, subject to applicable legal requirements.
A user may withdraw consent where the applicable law provides such a right and where the relevant processing is based on consent. Withdrawal of consent may not necessarily affect processing that has already occurred lawfully before withdrawal or processing that is based on another lawful basis.
Withdrawal of consent may also affect RIPL's ability to continue providing a particular service, programme, communication, application, or opportunity where the requested processing is necessary for that activity. In such circumstances, RIPL may explain the operational consequence of withdrawal where reasonably appropriate.
Requests concerning consent may be directed to RIPL through the official contact channel, subject to appropriate identity verification.
182. Accuracy of Personal and Business Information
Users are responsible for providing information that is accurate, complete, current, and not misleading. This obligation is particularly important where information is used for funding applications, investor communication, business analysis, legal documentation, financial assessment, programme eligibility, or other decision-making processes.
RIPL may reasonably rely upon information provided by a user unless the Company has reason to believe that the information is materially inaccurate, incomplete, fraudulent, or outdated.
If a user becomes aware that information previously submitted to RIPL is materially incorrect, the user should notify the Company and provide the corrected information where appropriate.
Incorrect or misleading information may result in delays, rejection, suspension, termination, inaccurate analysis, inability to provide a service, or other consequences. Such consequences may not create a refund entitlement where the underlying issue resulted from information supplied by the customer.
Where RIPL identifies an apparent inconsistency, the Company may request clarification or supporting documentation before proceeding.
183. Identity Verification and Due Diligence
RIPL may conduct reasonable verification and due diligence depending upon the nature of a service, programme, transaction, funding opportunity, partnership, application, or business relationship.
Verification may involve confirming identity, business existence, contact details, ownership information, registration information, submitted documents, payment information, business claims, programme eligibility, or other relevant information.
The level of verification may vary depending upon risk, service type, financial exposure, regulatory requirements, third-party requirements, programme rules, and operational circumstances.
Users must cooperate reasonably with verification requests where such verification is necessary to provide the requested service or comply with legal, security, fraud-prevention, contractual, or operational requirements.
RIPL may suspend processing where necessary information has not been verified or where submitted information raises legitimate concerns. In appropriate cases, the Company may decline to proceed with an application or engagement.
Verification does not mean that RIPL guarantees the accuracy of every document or representation supplied by a customer. It is a process intended to support reasonable assessment and risk management.
184. Sharing Information With Service Providers
RIPL may use third-party service providers to support its business operations. Such providers may include hosting providers, technology providers, payment processors, communication platforms, cloud-service providers, analytics providers, CRM systems, email providers, professional advisers, accounting providers, security providers, programme-support providers, or other vendors.
Where information is shared with such providers, the sharing shall generally be limited to information reasonably necessary for the relevant operational purpose, subject to applicable agreements, contractual arrangements, security measures, privacy requirements, and law.
For example, a payment processor may need transaction information to process a payment; a hosting provider may process information stored on a website or application; a communication provider may process contact information to deliver an email or message; and a CRM provider may store customer relationship records.
RIPL may not directly control every technical system operated by a third-party provider. Accordingly, third-party processing may also be subject to the provider's own terms and privacy practices.
Where legally required, RIPL shall take appropriate steps to ensure that third-party processing is conducted under appropriate contractual or legal arrangements.
185. Funding Partners, Investors and Programme Stakeholders
RIPL shall generally seek to share information that is relevant to the purpose rather than unnecessarily disclosing unrelated information. However, the level of information required may vary depending upon the requirements of the relevant funding or programme stakeholder.
Users should understand that once information is shared with an independent investor, institution, programme administrator, or other third party, that third party may independently process the information according to its own legal obligations, internal policies, evaluation criteria, and systems.
Where a particular disclosure requires specific user authorisation under applicable law, RIPL may seek that authorisation through the relevant process.
186. Payment and Financial Information
RIPL may receive payment-related information when users purchase services, register for programmes, pay invoices, make applications, or otherwise enter into commercial transactions.
Where payment is processed through an external payment gateway, bank, financial institution, card network, UPI provider, or other payment processor, the relevant provider may independently process financial and transaction information according to its own policies and legal obligations.
RIPL may retain transaction records such as invoice details, payment amount, transaction reference, payment status, date of transaction, customer identity, and other information reasonably necessary for accounting, reconciliation, tax, fraud prevention, dispute resolution, and legal purposes.
RIPL generally does not require customers to disclose unnecessary banking credentials, passwords, PINs, OTPs, or authentication secrets. Users should never provide such information to an individual claiming to represent RIPL unless the relevant process is independently verified and lawfully required.
Any request for sensitive financial credentials should be treated with caution. Customers should use official RIPL communication channels to verify suspicious payment-related requests.
187. Cookies and Similar Technologies
RIPL's website may use cookies, pixels, analytics tools, session technologies, local storage, or similar technical mechanisms depending upon the website configuration and services implemented from time to time.
These technologies may be used for purposes such as maintaining website functionality, remembering preferences, understanding website usage, improving performance, analysing traffic, measuring campaigns, supporting security, identifying technical problems, or improving user experience.
The exact technologies used may change as the website, hosting environment, analytics systems, marketing tools, or business requirements evolve. Where applicable, the Company may provide additional cookie or privacy notices describing relevant technologies.
Users may be able to control certain cookies through browser settings or other available controls. Disabling certain cookies may affect website functionality or prevent some features from operating correctly.
Where applicable law requires consent for particular non-essential cookies or tracking technologies, RIPL may provide an appropriate consent mechanism.
Cookies and similar technologies should be understood as technical mechanisms rather than as an automatic indication that RIPL has access to all information stored on a user's device.
188. Website Analytics and Performance Monitoring
RIPL may use analytics or technical monitoring tools to understand how users interact with its website and digital platforms. Such information may assist the Company in identifying frequently accessed pages, technical errors, performance issues, user navigation patterns, campaign effectiveness, and general website usage trends.
Analytics information may be aggregated or otherwise analysed to improve website structure, service presentation, marketing effectiveness, technical performance, security, and user experience.
Where third-party analytics services are used, the relevant provider may independently process technical or usage information according to its applicable terms and privacy practices.
RIPL may also use technical logs for security, fraud detection, troubleshooting, system maintenance, performance monitoring, and incident investigation.
Analytics information is not necessarily used to make individual commercial decisions. Where individual-level processing is undertaken for a specific purpose, the Company shall consider the applicable legal and privacy requirements.
189. Marketing and Promotional Communications
Users may be provided with an option to unsubscribe from certain promotional communications. Unsubscribing from marketing communications does not necessarily stop essential service communications, transactional notices, payment communications, security alerts, contractual notices, or other messages necessary to administer an existing relationship.
A user who has submitted an enquiry, application, programme registration, or service request may receive communications necessary to process that request.
Marketing preferences may be managed through available unsubscribe mechanisms or by contacting RIPL through an appropriate official channel.
RIPL may also use communication platforms operated by third parties to deliver messages. Such communications may be subject to the technical and legal practices of those providers.
190. Electronic Communications and Consent to Digital Records
Users agree that RIPL may communicate electronically through email, website notifications, messaging platforms, digital documents, application systems, or other appropriate electronic channels where such communication is legally permissible and commercially appropriate.
Electronic communications may include invoices, proposals, application updates, programme information, service notices, payment communications, confirmations, amendments, reminders, and other business correspondence.
Where applicable law recognises electronic records, users acknowledge that electronic records may be used to document communications, approvals, submissions, transactions, and contractual interactions.
Users are responsible for maintaining access to the email address, phone number, or other communication channel they provide to RIPL. If contact details change, the user should update the Company where necessary.
RIPL shall not be responsible for a failure to receive a communication caused by an incorrect email address, inactive phone number, blocked communication channel, spam filtering, unavailable mailbox, device issue, network failure, or other circumstance outside the Company's reasonable control.
191. Communication Records
RIPL may retain business communications, including emails, messages, application records, meeting details, payment communications, service requests, support communications, confirmations, and other correspondence for legitimate business, operational, legal, security, compliance, accounting, dispute-resolution, or recordkeeping purposes.
Where appropriate, RIPL may use communication records to investigate disputes, fraud allegations, payment issues, service complaints, contractual disagreements, security incidents, or other legitimate matters.
Users should therefore ensure that important commercial instructions are communicated through recognised channels and that informal statements are not relied upon where a formal written confirmation is reasonably necessary.
Retention of communication records shall remain subject to applicable law, legitimate business requirements, the Privacy Policy, and any applicable contractual obligations.
192. Data Security and Reasonable Safeguards
RIPL recognises that information security is an important component of responsible business operations. The Company may implement reasonable administrative, technical, organisational, access-control, authentication, monitoring, storage, and operational safeguards appropriate to the nature of the information and the systems used.
Such measures may include access restrictions, password controls, authentication mechanisms, secure hosting arrangements, internal permissions, backup processes, monitoring, technical maintenance, vendor controls, staff awareness, and other safeguards appropriate to the Company's operating environment.
However, no website, application, cloud environment, email system, communication platform, database, or electronic transmission method can be guaranteed to be completely secure against every possible threat.
Users acknowledge that cybersecurity risks may include phishing, malware, ransomware, credential theft, unauthorised access, social engineering, technical vulnerabilities, third-party compromise, network interception, accidental disclosure, or other incidents.
RIPL shall take reasonable measures appropriate to identified risks but does not provide an absolute guarantee that no security incident will ever occur.
Users are also responsible for maintaining the security of their own devices, passwords, accounts, access credentials, and communications.
193. Security Incidents and Data Breach Response
If RIPL becomes aware of a security incident affecting information under its control, the Company may investigate the incident, assess its scope, take reasonable containment measures, restore affected systems, review relevant logs, coordinate with service providers, and take other steps appropriate to the circumstances and applicable law.
Where applicable law requires notification to affected individuals, authorities, regulators, or other parties, RIPL may provide the required notification within the applicable legal framework.
A security incident does not automatically establish that RIPL was negligent or legally liable. The circumstances of each incident, including the nature of the event, affected systems, third-party involvement, safeguards in place, customer actions, and applicable legal obligations, may be relevant to determining responsibility.
Users should promptly report suspected unauthorised access, fraudulent communications, suspicious payment requests, compromised accounts, or other security concerns through an official RIPL communication channel.
RIPL may temporarily restrict access to accounts, services, applications, or systems where reasonably necessary to investigate or contain a security concern.
194. Data Retention
RIPL may retain information for as long as reasonably necessary for the purpose for which it was collected, the performance of a contract, legitimate business operations, accounting, tax, legal compliance, fraud prevention, security, dispute resolution, regulatory requirements, or other lawful purposes.
Different categories of information may therefore have different retention periods. A marketing enquiry may not require the same retention period as a contractual invoice, funding application, legal record, financial transaction, or dispute-related document.
When information is no longer reasonably required and there is no legal, contractual, security, accounting, or legitimate business reason to retain it, RIPL may delete, anonymise, aggregate, archive, or otherwise appropriately dispose of the information, subject to applicable law.
Users should understand that deletion from an active system does not necessarily mean immediate destruction of every backup or archival copy. Technical systems may retain backup copies for limited periods as part of ordinary security and business-continuity processes.
Retention practices may also depend upon third-party systems used by RIPL.
195. User Requests for Access, Correction and Deletion
Subject to applicable law and reasonable verification requirements, users may contact RIPL to request information regarding personal information held by the Company, correction of inaccurate information, withdrawal of consent where applicable, deletion where legally available, or other rights available under applicable data-protection requirements.
A request may need to contain sufficient information to identify the requester and locate the relevant records. RIPL may request reasonable verification before acting on a request involving personal information in order to prevent unauthorised disclosure or fraudulent requests.
Certain information may not be immediately deletable where retention is required by law, necessary for accounting, required for contractual records, relevant to a legal dispute, necessary for fraud prevention, or otherwise permitted or required to be retained.
Where deletion affects RIPL's ability to provide an ongoing service, the Company may explain the relevant consequences before completing the request where appropriate.
Requests may be submitted through the official email address or other designated privacy communication channel published by RIPL.
196. Children's Information
Where a particular service or programme is intended for adults or requires legal capacity to enter into a contract, individuals who do not meet the applicable eligibility requirements should not submit an application without appropriate parental, guardian, institutional, or legal involvement where required.
If RIPL becomes aware that personal information has been collected from a child in circumstances where such collection was not intended or legally permitted, the Company may take reasonable steps to review and address the situation in accordance with applicable law.
The treatment of children's data may be subject to additional legal requirements depending upon the nature of the service, the applicable jurisdiction, and the circumstances of collection.
197. International Data Processing
RIPL may use technology providers, cloud infrastructure, communication platforms, analytics providers, payment systems, software services, or other third-party infrastructure that may process or store information in locations outside the user's state or country.
Where information is processed internationally, RIPL shall consider applicable contractual, privacy, security, and legal requirements governing such processing.
Users acknowledge that digital services may rely upon globally distributed technology infrastructure and that information may therefore be technically processed through systems located in different jurisdictions.
International processing does not automatically mean that information is publicly available. Access may remain subject to technical controls, contractual restrictions, authentication, privacy obligations, and applicable law.
Where applicable law requires additional safeguards or notices for international transfers or processing, RIPL may implement or provide such measures as required.
198. Government, Regulatory and Legal Disclosures
RIPL may disclose information where reasonably necessary to comply with applicable law, court orders, regulatory requirements, government requests, law-enforcement requirements, tax obligations, legal processes, fraud investigations, security investigations, or other mandatory legal obligations.
Where legally permitted, RIPL may consider the scope of the request and disclose information reasonably relevant to the applicable requirement rather than unnecessarily disclosing unrelated information.
The Company may also disclose information where necessary to establish, exercise, or defend legal rights, investigate fraud, protect the security of its systems, protect users, enforce contractual terms, or prevent unlawful activity, subject to applicable law.
Users acknowledge that confidentiality and privacy obligations do not necessarily prohibit disclosures that are legally required or otherwise permitted by law.
Where law prohibits notification of the affected person, RIPL may not be able to inform the person about a particular disclosure.
199. Fraud Prevention and Risk Management
RIPL may process information to identify, investigate, prevent, or respond to fraud, identity misuse, payment fraud, false applications, forged documents, unauthorised access, impersonation, abuse of programmes, misleading representations, cyber threats, or other unlawful or harmful activity.
Such processing may involve reviewing transaction information, application information, communication records, technical information, account activity, documents, business information, or other relevant records.
Where a transaction or application raises legitimate security or fraud concerns, RIPL may delay processing, request additional verification, suspend access, decline an application, cancel an engagement, or take other appropriate action.
Fraud-prevention measures may sometimes produce delays or require additional verification. Users should cooperate reasonably with legitimate security requests.
Nothing in this provision authorises unlawful surveillance or unnecessary collection of information. Processing shall remain subject to applicable law and the Company's legitimate operational requirements.
200. Data Accuracy and Business Decisions
Information processed by RIPL may be used to support business discussions, research, strategy, funding readiness, application screening, programme administration, customer service, or other commercial activities.
Users acknowledge that decisions may depend partly on information supplied by the user. RIPL shall not be responsible for inaccuracies caused solely by incorrect, incomplete, outdated, misleading, or fraudulent information supplied by the user, subject to applicable law.
Where information is materially important to a funding application, investor presentation, business proposal, financial analysis, or strategic recommendation, users should independently review the information before external use.
RIPL's processing of information does not constitute an independent guarantee that the information is factually correct merely because the Company received, stored, analysed, or included it in a document.
Where the Company identifies a material error attributable to its own processing, it may take reasonable corrective steps appropriate to the circumstances.
201. Privacy Complaints and Contact
Users who have questions, concerns, complaints, correction requests, consent-related questions, privacy requests, or data-related concerns may contact RIPL through its official communication channels.
The preferred email for general privacy-related communication is:
A privacy request should contain sufficient information to understand the issue and, where applicable, identify the relevant account, application, transaction, service, or communication.
RIPL may request reasonable identity verification before responding to a request involving personal information. This is intended to prevent disclosure of personal information to an unauthorised person.
The Company may review the complaint, seek clarification, investigate relevant records, communicate with the requester, and take appropriate action based on the circumstances and applicable law.
Nothing in this internal complaint process prevents an individual from exercising a legal right or approaching a competent authority where such right is available.
202. Privacy Policy Updates and Changes in Data Practices
RIPL may update its Privacy Policy, data-handling practices, website technologies, communication systems, analytics tools, service providers, security measures, or other operational processes from time to time.
Changes may occur because of new services, technological developments, legal requirements, security considerations, business restructuring, third-party platform changes, or improvements to privacy practices.
Where a change materially affects the manner in which personal information is processed, RIPL may provide an appropriate notice or update the relevant privacy documentation as required by applicable law.
Users should periodically review the latest Privacy Policy and related notices when continuing to use the Company's website or services.
Continued use of the website after a lawful update does not necessarily constitute consent where applicable law requires a separate consent mechanism. Where specific consent is legally required, RIPL may seek such consent through the appropriate process.
203. No Absolute Security or Privacy Guarantee
RIPL is committed to responsible handling of information but does not represent that personal information, confidential information, communications, website systems, databases, cloud systems, or digital platforms can be made completely immune from every possible security threat.
Cybersecurity risks can arise from sophisticated attacks, vulnerabilities in third-party systems, compromised credentials, user negligence, social engineering, malicious software, infrastructure failures, human error, or circumstances beyond reasonable control.
RIPL may implement reasonable safeguards appropriate to its operations, but users acknowledge that no digital environment can be guaranteed to be completely risk-free.
Users should therefore take reasonable precautions, including protecting account credentials, verifying payment instructions, avoiding suspicious links, maintaining secure devices, using appropriate passwords, and reporting suspected security incidents promptly.
Nothing in this provision limits any obligation imposed upon RIPL by applicable law concerning reasonable security measures, privacy, data protection, breach response, or other mandatory requirements.
204. Continuing Application of Privacy and Data Provisions
The privacy and data-related provisions contained in these Terms & Conditions may continue to apply after termination or completion of a commercial relationship to the extent that RIPL lawfully retains information for legitimate business, contractual, accounting, legal, security, regulatory, fraud-prevention, dispute-resolution, or other lawful purposes.
Termination of a service does not automatically require immediate deletion of every record associated with the relationship. Certain records may need to be retained for a legally or commercially reasonable period.
At the same time, continued retention does not mean that RIPL may use retained information for unrelated purposes without considering applicable privacy obligations, contractual restrictions, or legal requirements.
Where applicable, the Company's Privacy Policy shall continue to govern the treatment of personal information after the commercial engagement ends.
These provisions should be read together with the confidentiality, intellectual property, payment, refund, third-party, liability, termination, and dispute-resolution provisions contained elsewhere in these Terms & Conditions.
205. Third-Party Services and Independent Providers
The involvement of a third party does not automatically make that third party an employee, agent, partner, joint venture partner, or representative of RIPL. Unless a separate written agreement expressly provides otherwise, such third parties may operate independently and may have their own terms, policies, eligibility requirements, pricing structures, technical limitations, approval processes, and decision-making authority.
Where RIPL introduces or coordinates a customer with a third party, RIPL's responsibility shall generally be limited to the scope of service expressly agreed with the customer. The third party may independently decide whether to accept the customer, provide services, approve funding, process an application, enter into a commercial relationship, or provide any other opportunity.
Customers are therefore responsible for reviewing applicable third-party terms before entering into a direct relationship with an external provider. RIPL does not automatically guarantee the quality, availability, pricing, security, legality, performance, or continued availability of every third-party service.
206. External Websites and Third-Party Links
RIPL's website, social media pages, communications, presentations, programmes, or other digital materials may contain links, references, integrations, advertisements, embedded content, or references to websites and platforms operated by third parties.
Such external links may be provided for convenience, information, service access, payment processing, investor information, programme registration, research, communication, or other legitimate purposes. The presence of a link does not necessarily constitute an endorsement, certification, sponsorship, partnership, or guarantee of the third party.
When a user leaves an RIPL-controlled environment and accesses an external website, the user may become subject to the external provider's terms, privacy policy, cookies, security practices, payment rules, and other conditions. RIPL may not control those external policies.
Users should independently verify the authenticity of external links, especially where the link involves payment, financial information, login credentials, identity documents, or sensitive business information.
RIPL shall not ordinarily be responsible for content, availability, security, accuracy, transactions, services, or representations made independently by an external website, except to the extent responsibility is imposed by applicable law or an express written agreement.
If RIPL becomes aware that an external link is materially misleading, malicious, unavailable, or inappropriate, the Company may remove or replace the link where reasonably practicable.
207. Financial Institutions, Lenders and Funding Providers
Funding providers may assess applications based on their own policies, risk criteria, financial requirements, documentation standards, credit assessment, business model evaluation, collateral requirements, investor preferences, regulatory obligations, or other factors.
RIPL may assist with preparation, documentation, research, analysis, presentation, strategy, application support, investor-readiness, or coordination, but such assistance does not transfer the final decision-making authority from the funding provider to RIPL.
A customer shall therefore not interpret RIPL's involvement as an approval, sanction, commitment, promise, or representation that financing will be provided.
Funding may also be modified after preliminary discussions, including changes to amount, structure, valuation, interest, repayment terms, investment terms, conditions, timelines, security requirements, or other commercial conditions. Such changes may arise from the independent funding provider.
The customer remains responsible for reviewing final financing documents and obtaining independent professional advice where appropriate before accepting a financial arrangement.
208. Investor Introductions and Investor Decisions
An introduction, referral, pitch opportunity, meeting, presentation, evaluation, or communication with an investor shall not be interpreted as an investment commitment.
An investor may reject a proposal without providing a detailed explanation. An investor may also discontinue discussions after initial interest, request additional information, modify proposed terms, or decide to invest at a different amount or structure.
RIPL does not control an investor's independent decision. Accordingly, failure to secure investment following an RIPL-supported introduction or pitch shall not automatically establish that RIPL failed to perform its agreed service.
Founders remain responsible for reviewing investment documents and should seek independent legal, financial, tax, or other professional advice before entering into an investment transaction where appropriate.
210. Funding Amounts and Promotional Funding Statements
RIPL may use promotional language referring to potential funding amounts, including expressions such as “funding up to ₹5 Crore” or similar descriptions of maximum potential funding opportunities.
Such statements represent a potential maximum opportunity or programme-level possibility and shall not be interpreted as a guarantee that every applicant will receive the stated amount.
Actual funding, if any, may depend upon eligibility, business quality, financial performance, investor interest, lender criteria, due diligence, documentation, valuation, market conditions, programme availability, legal requirements, risk assessment, and independent third-party decisions.
The actual amount offered may be lower than any maximum amount stated in promotional material, or no funding may be offered at all.
Similarly, references to “up to” amounts do not create a contractual entitlement to the maximum figure. The customer must rely upon the final written financing or programme documentation rather than promotional descriptions when determining the actual financial terms of an opportunity.
RIPL may update promotional amounts, programme structures, eligibility criteria, or availability from time to time without creating an obligation to provide an opportunity that is no longer available, subject to applicable contractual commitments.
212. Mentorship and Professional Guidance
RIPL may provide mentorship, business guidance, strategic discussions, founder support, research-based insights, operational suggestions, or other professional assistance.
Mentorship is intended to provide general or business-specific guidance based on the information available at the time. It does not automatically constitute legal advice, tax advice, accounting advice, investment advice, securities advice, regulated financial advice, medical advice, or any other regulated professional service unless expressly provided by an appropriately qualified professional under a specific engagement.
A mentor's recommendation may represent professional judgment rather than a guaranteed outcome. Business decisions remain the responsibility of the customer or founder.
Customers should independently evaluate recommendations before implementing them, particularly where the decision involves significant financial, legal, regulatory, tax, investment, employment, or contractual consequences.
RIPL does not guarantee that every recommendation will produce the expected business outcome.
213. Business Research and Market Information
RIPL may conduct or provide business research, market research, competitor analysis, industry analysis, customer analysis, market-entry research, sales research, distribution analysis, or strategic research.
Research may use information obtained from public sources, customer information, third-party data providers, industry sources, interviews, surveys, internal analysis, databases, websites, or other available sources.
Market information can change rapidly. Competitor behaviour, pricing, demand, regulations, technology, consumer preferences, economic conditions, and other variables may change after research has been completed.
Accordingly, research should generally be treated as an analytical input rather than an absolute prediction of future market conditions.
RIPL may use reasonable professional judgment when interpreting available information, but cannot guarantee that every external source is complete, accurate, current, or free from error.
Customers remain responsible for validating critical assumptions before making material commercial decisions.
214. Business Strategy and Recommendations
RIPL may provide strategic recommendations concerning market expansion, sales scaling, business transformation, distribution, operations, funding readiness, customer acquisition, positioning, technology, or other business matters.
Recommendations may be based on information supplied by the customer and information reasonably available to RIPL at the time of analysis.
Business strategy involves assumptions and uncertainty. A strategy that appears commercially reasonable at the time of preparation may require modification because of market changes, competitor actions, customer response, financial constraints, regulatory changes, internal execution, or other factors.
RIPL does not guarantee that a recommended strategy will produce a particular revenue, profit, valuation, market share, customer count, distribution footprint, funding amount, or other business result.
The customer retains responsibility for implementation decisions and should adapt recommendations to its actual operational, financial, legal, and organisational circumstances.
215. Sales Scaling and Revenue Expectations
RIPL may assist businesses with sales strategy, distribution expansion, retailer development, sales-force planning, market expansion, lead generation, business development, customer acquisition, or related activities.
Any sales targets, projections, estimates, expected growth rates, retailer numbers, revenue figures, conversion rates, or business-development projections shall be treated as planning assumptions unless expressly guaranteed under a separate written agreement.
Actual sales may depend on pricing, product quality, customer demand, sales execution, competition, retailer participation, distribution capacity, market conditions, inventory, staffing, geography, seasonality, economic conditions, and numerous other factors.
A business receiving sales-support services remains responsible for its products, pricing, sales personnel, customer relationships, fulfilment, quality, compliance, and commercial decisions.
Failure to achieve a projected sales target does not automatically establish that RIPL failed to provide the agreed service.
216. Technology Services and Digital Infrastructure
RIPL may provide or coordinate technology-related services including website support, digital platforms, software-related assistance, hosting coordination, technical support, system development, integrations, analytics, automation, or other technology services.
Technology systems may depend on external infrastructure such as hosting providers, domain registrars, cloud platforms, APIs, payment gateways, software libraries, communication platforms, internet connectivity, databases, or other third-party systems.
Technical interruptions may therefore occur due to maintenance, outages, software updates, security incidents, infrastructure failures, API changes, network problems, third-party restrictions, or other circumstances outside RIPL's reasonable control.
Unless a separate written service-level agreement provides otherwise, RIPL does not guarantee uninterrupted or error-free operation of every technology component.
Customers should maintain appropriate backups of important business information and should not rely exclusively on one technical system for critical records.
217. Website Availability and Technical Interruptions
RIPL seeks to maintain reasonable availability of its website and digital platforms but does not guarantee that they will remain continuously available, uninterrupted, secure, or error-free.
The website may occasionally become unavailable because of maintenance, upgrades, hosting issues, technical failures, cybersecurity incidents, network problems, domain issues, software updates, infrastructure changes, or circumstances outside RIPL's reasonable control.
RIPL may also modify, suspend, discontinue, replace, or restructure website features or digital services where reasonably necessary for operational, security, legal, technical, or commercial reasons.
Users should not assume that information displayed on a website will remain permanently available. Important documents, agreements, invoices, or business records should be retained by the user where appropriate.
Nothing in this section excludes legal obligations concerning website accessibility, service delivery, data protection, or consumer rights where such obligations apply.
218. Artificial Intelligence and Automated Tools
RIPL may use artificial intelligence, machine-learning systems, automation tools, data-processing systems, analytics software, or other technology in certain business, research, administrative, content-development, customer-support, or operational processes.
AI-assisted outputs may contain inaccuracies, omissions, outdated information, unintended interpretations, or other errors. Where AI or automated tools are used, human review may be applied according to the nature and importance of the relevant activity, but users should not assume that every output has been independently verified.
AI-generated or automated information should not automatically be treated as legal, financial, tax, investment, regulatory, or professional advice.
Customers remain responsible for reviewing material outputs before relying upon them for important business decisions.
Where customer information is processed through an AI or automated system operated by a third party, applicable privacy, confidentiality, contractual, and data-processing considerations shall be taken into account according to the relevant system and service.
RIPL may modify its use of AI and automation as technology, business requirements, security considerations, or legal requirements evolve.
219. No Guarantee of AI or Automated Results
Where an RIPL service involves automated analysis, AI-assisted content generation, data analysis, recommendation systems, or other automated processes, the resulting output shall generally be treated as an assistance mechanism rather than an infallible determination.
Automated systems may produce different results based on input quality, system configuration, available data, model limitations, updates, external information, or other technical factors.
RIPL shall not represent that an AI-generated or automated output is necessarily complete, error-free, unique, or suitable for every business purpose.
Customers should independently review important outputs, particularly where the output will be used for investor communication, financial decisions, legal documents, regulatory filings, employment decisions, customer communications, or other material purposes.
Where a service expressly includes human review, the scope of that review shall be determined by the applicable agreement rather than assumed to be unlimited.
221. Event Photography, Video and Promotional Content
Where an event or programme specifically provides notice that photography or recording will occur, participants should review the applicable programme terms before participating.
If a particular use requires separate consent under applicable law, RIPL may seek such consent through an appropriate mechanism.
Participants should avoid sharing confidential information publicly during recorded sessions unless they have appropriate authority to do so.
RIPL may not be able to control photographs, videos, recordings, or social-media content independently published by other participants, attendees, media organisations, investors, or third parties.
222. Third-Party Opinions, Reviews and Testimonials
RIPL may publish or display reviews, testimonials, founder statements, customer feedback, investor comments, case studies, or other third-party opinions where lawfully obtained.
Such statements represent the views of the person who made them and should not automatically be interpreted as a guarantee that another customer will achieve the same result.
Business outcomes vary significantly between customers due to industry, timing, capital, execution, market conditions, management capability, customer demand, competition, and other factors.
RIPL may edit testimonials for formatting, grammar, length, clarity, or presentation where appropriate, provided such editing does not materially misrepresent the original meaning, subject to applicable law and any applicable consent.
Testimonials should therefore be viewed as examples of individual experiences rather than universal promises.
223. No Guarantee of Commercial Success
RIPL's services are intended to provide professional, strategic, operational, research, funding-support, business-development, technology, or related assistance. No service should automatically be interpreted as a guarantee that the customer will achieve a particular level of revenue, profit, funding, investment, market share, customer acquisition, valuation, business expansion, distribution, or commercial success.
Business success depends upon factors that may be outside RIPL's control, including customer execution, market demand, competition, pricing, financial resources, management capability, legal conditions, technology, economic conditions, customer behaviour, investor decisions, third-party performance, and timing.
Projections, estimates, targets, forecasts, strategy recommendations, growth plans, business models, market assumptions, or funding expectations are therefore not guarantees unless expressly stated otherwise in a specific written agreement.
Customers should evaluate their own financial capacity, risk tolerance, operational capability, and professional requirements before making material business decisions.
224. Customer Responsibility for Business Decisions
RIPL may provide analysis, recommendations, research, support, or strategic input, but the customer retains decision-making authority unless a separate written agreement expressly establishes another arrangement.
Customers should obtain independent professional advice where a decision requires specialised legal, tax, accounting, investment, regulatory, technical, or other expertise.
A customer should not represent to a third party that RIPL has guaranteed a particular business result merely because RIPL provided advice, prepared a document, introduced a contact, or participated in a business discussion.
The customer also remains responsible for implementing recommendations lawfully and appropriately.
225. No Agency, Partnership or Joint Venture Unless Expressly Agreed
Use of RIPL's services, participation in an RIPL programme, receipt of business advice, investor introduction, mentorship, funding assistance, market support, or other engagement does not automatically create a partnership, joint venture, employment relationship, agency relationship, fiduciary relationship, franchise relationship, or legal representative relationship between RIPL and the customer.
Where RIPL introduces a customer to a third party, the customer remains responsible for its independent dealings with that third party unless a separate written agreement provides otherwise.
Similarly, a customer's use of RIPL's name, programme, or services does not authorise the customer to enter into contracts, make promises, collect money, provide guarantees, or make representations on behalf of RIPL.
226. User Responsibility for Third-Party Decisions
A third party may delay, reject, modify, discontinue, restrict, or independently evaluate an opportunity.
RIPL may assist with communication, preparation, coordination, research, documentation, or introduction, but cannot compel an independent third party to accept a proposal or enter into an agreement.
The customer shall therefore not treat a third-party decision as a guaranteed obligation of RIPL unless the specific written agreement expressly establishes such obligation.
227. Force Majeure and Events Beyond Reasonable Control
RIPL shall not be responsible for delay, interruption, modification, suspension, or inability to perform an obligation to the extent caused by circumstances beyond the Company's reasonable control, subject to applicable law and the terms of any specific agreement.
Such circumstances may include natural disasters, fire, flood, epidemic, pandemic, war, civil disturbance, government restrictions, regulatory changes, cyberattacks, major infrastructure failures, internet outages, power failures, technology-provider failures, banking disruptions, labour disruptions, third-party service failures, transportation disruptions, or other events that materially interfere with performance.
Where reasonably possible, RIPL may attempt to communicate material disruptions and may consider alternatives such as rescheduling, modifying the service, postponing performance, transferring an engagement, or providing another commercially reasonable solution.
A force-majeure event does not automatically create a full refund obligation unless required by applicable law or expressly provided under the relevant agreement.
228. Limitation of Responsibility for External Information
RIPL may rely upon information obtained from public databases, government websites, industry sources, third-party reports, customer submissions, market research, software systems, financial information, or other external sources.
Although the Company may take reasonable steps to assess information used in its services, external information may contain errors, omissions, outdated information, conflicting data, or limitations.
RIPL does not automatically guarantee the accuracy or completeness of every external source.
Where information is commercially important, customers should independently verify critical facts before relying upon them for material decisions.
This provision does not exclude any responsibility that applicable law expressly places upon RIPL concerning representations made directly by the Company or services that are expressly required to meet a particular statutory standard.
229. No Automatic Professional or Regulatory Certification
Unless expressly stated in a separate written agreement and provided by an appropriately qualified person or entity, RIPL's business services do not automatically constitute legal certification, statutory audit, tax certification, investment advice, securities advice, accounting certification, regulatory approval, engineering certification, intellectual-property certification, or any other regulated professional certification.
Business documents, strategy documents, financial models, funding presentations, research reports, proposals, or other outputs prepared through RIPL services may support a business process but should not automatically be represented as legally certified documents.
Customers are responsible for obtaining specialised professional advice where required.
RIPL may coordinate with qualified professionals or third parties where such services are separately arranged, but the scope of their professional responsibility shall depend upon the relevant engagement.
230. Final Business-Risk Acknowledgement
RIPL may provide professional support intended to improve planning, readiness, execution, market understanding, business positioning, funding preparation, sales development, transformation, or access to opportunities. However, no responsible business-support service can eliminate all commercial risk or guarantee that every proposed objective will be achieved.
Customers therefore remain responsible for conducting appropriate due diligence, reviewing contracts, verifying third-party opportunities, assessing financial commitments, obtaining independent professional advice where necessary, and making their own final business decisions.
Nothing in these Terms is intended to exclude liability or legal rights that cannot lawfully be excluded. Subject to that limitation, the parties acknowledge that RIPL's responsibility should be assessed according to the actual services expressly agreed rather than solely by reference to a customer's expected commercial outcome.
231. Interpretation of Disclaimers
The disclaimers contained in these Terms & Conditions are intended to clarify the nature and limits of RIPL's services and should not be interpreted as an attempt to avoid legitimate contractual obligations.
Where RIPL expressly promises to perform a specific service under a written agreement, that obligation shall remain subject to the terms of the relevant agreement and applicable law.
Similarly, where applicable law imposes a mandatory standard of care, consumer protection, privacy obligation, refund right, or other legal requirement, such requirement shall continue to apply.
The purpose of the disclaimers is to distinguish professional assistance from guaranteed commercial outcomes and to distinguish RIPL-controlled activities from decisions made independently by third parties.
Where there is uncertainty regarding a specific obligation, the relevant written agreement, applicable programme terms, and applicable law should be considered together.
232. User Due Diligence
Users are encouraged to conduct reasonable due diligence before entering into significant commercial commitments based on information obtained through RIPL.
Such due diligence may include reviewing financial statements, contracts, investor terms, funding documents, legal registrations, licences, tax obligations, intellectual property rights, technology arrangements, third-party agreements, business assumptions, market conditions, and other matters relevant to the proposed transaction.
RIPL may assist with certain aspects of research or preparation, but such assistance does not eliminate the customer's responsibility to independently assess material risks.
A customer should not rely solely on a promotional statement, website description, presentation, testimonial, projection, or verbal discussion when entering into a material legal or financial commitment.
Where appropriate, customers should obtain independent advice from qualified legal, tax, accounting, financial, technical, or other professionals.
233. Continuation of Third-Party and Risk Provisions
The provisions in this Part relating to third-party services, external websites, funding providers, investors, government programmes, technology systems, AI tools, events, business risks, force majeure, external information, professional limitations, and customer due diligence shall continue to apply to the relevant activities even after a particular service or programme has been completed or terminated to the extent necessary to interpret rights, obligations, liabilities, or continuing responsibilities arising from those activities.
These provisions shall be read together with the payment, refund, intellectual property, confidentiality, privacy, termination, liability, dispute-resolution, and governing-law provisions contained elsewhere in these Terms & Conditions.
Where a specific written agreement contains a different provision, that agreement shall govern to the extent of a valid inconsistency, subject to applicable law.
234. Intellectual Property Ownership
235. Customer Background Intellectual Property
236. RIPL Background Intellectual Property
RIPL may use proprietary methodologies, research frameworks, analytical techniques, business models, operational processes, templates, evaluation criteria, internal systems, databases, software, strategic frameworks, presentation structures and other intellectual property developed independently of a particular customer engagement. Such background intellectual property shall remain owned by RIPL even where it is used while providing a service to a customer. Unless a written agreement expressly provides otherwise, a customer receives only the limited right to use the final service output or agreed document for the business purpose for which it was provided. The customer shall not reproduce, resell, commercialise, distribute, publish, reverse engineer, modify for resale, license to third parties or create competing products or services from RIPL's proprietary frameworks or methodologies without prior written permission.
237. Service Deliverables and Permitted Use
Where RIPL provides a written report, analysis, strategy document, presentation, business plan, research output, assessment, proposal, digital file, programme output or other agreed service deliverable, the ownership and permitted use of that deliverable shall be determined by the relevant commercial agreement. Unless otherwise expressly agreed, the customer receives a limited, non-exclusive, non-transferable right to use the agreed deliverable for its own legitimate internal business purposes. The customer shall not represent an RIPL-created document as its own independently developed proprietary methodology where doing so would mislead another person about its origin. Any third-party content incorporated into a deliverable remains subject to the rights and terms applicable to that third party.
238. Website and Digital Content Restrictions
Users shall not copy, reproduce, scrape, download systematically, republish, distribute, modify, transmit, sell, license, commercially exploit or create derivative works from substantial portions of the RIPL website or its proprietary digital content without prior written authorisation. Normal browsing, viewing, downloading of expressly permitted documents and reasonable use for legitimate business purposes shall not constitute infringement. Users shall not attempt to bypass technical restrictions, gain unauthorised access to restricted areas, extract confidential databases, interfere with website functionality or use automated systems in a manner that materially harms the website or its infrastructure.
239. RIPL Trademarks and Branding
The names “Rishishwar Industry”, “RIPL” and any associated logos, marks, programme names, campaign identities, taglines or other branding elements may constitute trademarks, business identifiers or protected intellectual property of RIPL or their respective owners. No user receives an implied licence to use such branding merely by accessing the website or purchasing services. Any authorised use must comply with RIPL's written instructions and must not create an impression of endorsement, partnership, employment, agency, investment relationship or official representation where none exists.
240. Customer-Provided Content
Where a user submits text, images, videos, logos, presentations, documents, business information, product information, photographs, recordings, testimonials, financial information or other content to RIPL, the user represents that it has the legal authority to submit that content and authorise its intended use. The user shall not knowingly provide content that infringes another person's intellectual property, privacy, confidentiality or other legal rights. RIPL may refuse, remove, restrict or discontinue use of content where it reasonably believes that the content creates legal, regulatory, security, reputational or operational risk.
242. Confidential Information
“Confidential Information” may include non-public business plans, financial records, customer lists, supplier information, pricing structures, commercial negotiations, strategic plans, funding requirements, investor discussions, research findings, technical information, credentials, operational processes, contracts, proprietary methods, trade secrets and other information that a reasonable person would understand to be confidential in nature. Each party receiving confidential information shall use reasonable care to protect it from unauthorised disclosure and shall use it only for legitimate purposes connected with the relevant engagement, subject to applicable law and the written agreement between the parties.
243. Exclusions From Confidential Information
Information shall generally not be treated as confidential where it is already publicly available through no breach of obligation, was lawfully known by the receiving party before disclosure, is independently developed without use of the confidential information, is lawfully obtained from a third party without a confidentiality restriction, or is expressly authorised for disclosure by the owner. Information may also be disclosed where required by law, court order, governmental authority, regulatory requirement or other legally enforceable obligation, provided that the receiving party may, where legally permitted and reasonably practicable, provide appropriate notice to the disclosing party.
244. Permitted Disclosure
RIPL may disclose confidential information to its employees, officers, professional advisers, consultants, technology providers, service providers, programme partners, funding-related stakeholders or other authorised persons where such disclosure is reasonably necessary to perform the relevant service, administer a programme, comply with law, prevent fraud, protect rights or fulfil contractual obligations. RIPL may seek to limit such disclosure to the information reasonably required for the relevant purpose. Users similarly remain responsible for protecting confidential RIPL information and shall not disclose it to unrelated third parties except where authorised or legally required.
245. Protection of Trade Secrets
Where information qualifies as a trade secret or similarly protected confidential information under applicable law, the parties shall take reasonable measures to prevent unauthorised disclosure or misuse. Nothing in these Terms requires either party to disclose a trade secret where such disclosure is not necessary for the agreed service. If disclosure is voluntarily made by a user, the user should clearly communicate any specific confidentiality requirements before disclosure where reasonably possible. Trade-secret protection may continue for as long as the information legally qualifies for such protection.
246. Confidentiality After Termination
Confidentiality obligations shall continue after completion, cancellation or termination of the relevant engagement to the extent required by the applicable agreement, the nature of the information or applicable law. Termination of a service relationship does not automatically authorise either party to disclose information that was legitimately received in confidence during the relationship. RIPL may retain information where retention is required for legal, accounting, audit, dispute-resolution, fraud-prevention, regulatory or legitimate business-record purposes, subject to applicable privacy and data-protection requirements.
247. No Unauthorised Commercialisation
A customer shall not use RIPL's confidential information, proprietary methodologies, internal processes, commercial proposals or non-public business information to establish a competing service, misrepresent RIPL's business model, solicit RIPL's confidential contacts through misuse of protected information, or commercially exploit information obtained solely because of the customer relationship. This provision shall be interpreted reasonably and shall not prevent lawful competition based on independently developed knowledge, publicly available information or a person's legitimate professional experience.
248. Third-Party Intellectual Property
Certain information, software, databases, images, documents, APIs, technology, fonts, graphics, datasets or other content used by RIPL may belong to third parties. Such third-party intellectual property remains subject to the applicable licence, terms of use and ownership rights of the relevant third party. RIPL does not transfer ownership of third-party intellectual property unless RIPL has the legal authority to do so. Users shall comply with applicable third-party licensing restrictions and shall not assume that access through an RIPL service creates unrestricted rights of reuse.
249. Intellectual Property Complaints
If a person believes that content made available through an RIPL service infringes their intellectual property rights, they should provide RIPL with sufficient information to identify the relevant content, explain the claimed ownership or authority, identify the alleged infringement and provide reasonable supporting documentation. RIPL may investigate the complaint and, where appropriate, restrict, remove, modify or replace the disputed content, subject to applicable law and contractual rights. A complaint does not automatically establish infringement, and RIPL may request additional information before taking action.
250. No Waiver of Intellectual Property Rights
Failure by RIPL to immediately enforce an intellectual property right, confidentiality obligation or usage restriction shall not constitute a permanent waiver of that right. RIPL may enforce its rights when it becomes aware of an actual or threatened misuse, subject to applicable limitation periods and legal requirements. Similarly, nothing in these Terms prevents a customer from enforcing its lawful intellectual property rights against unauthorised use.
251. User Responsibility for Permissions
The user is responsible for obtaining all permissions, licences, consents and approvals required for content, data, photographs, recordings, logos, business information, employee information, customer information or other materials submitted to RIPL. RIPL shall not be responsible for determining whether every item submitted by a user has been lawfully obtained or authorised. Where the user submits information relating to another person, the user should ensure that the disclosure is lawful and that all required notices or permissions have been provided.
252. Publicity and Case Studies
253. No Automatic Ownership Transfer
Payment for a service does not automatically transfer ownership of RIPL's intellectual property, internal systems, methodologies, research frameworks, templates, software, databases, processes or know-how. Ownership shall transfer only where a valid written agreement expressly provides for such transfer. Where no ownership transfer is specified, the customer receives only the rights reasonably necessary to use the agreed service output for the agreed purpose.
254. Survival of Intellectual Property and Confidentiality
The provisions concerning intellectual property, confidentiality, permitted use, protection of proprietary information, third-party rights and restrictions on unauthorised disclosure shall survive termination or expiry of the commercial relationship to the extent necessary to give them meaningful effect. Obligations relating to trade secrets may continue for as long as legally protected. Other confidentiality obligations shall continue for the period specified in the relevant agreement or, where no period is specified, for a reasonable period consistent with the nature of the information and applicable law.
255. Suspension or Termination by RIPL
RIPL may suspend, restrict or terminate access to a service, programme, website feature or commercial engagement where reasonably necessary due to non-payment, breach of these Terms, inaccurate or fraudulent information, misuse of services, unlawful activity, security concerns, regulatory requirements, operational limitations, third-party dependency, programme closure, force majeure or other legitimate business or legal reasons. Where reasonably practicable, RIPL may provide notice and an opportunity to remedy a breach, but immediate suspension or termination may be appropriate where delay could create legal, financial, security or operational risk.
256. Termination by Customer
A customer may request cancellation or termination of an engagement by providing written notice through an authorised communication channel. Termination shall be subject to the specific commercial agreement, service stage, payment terms and applicable cancellation and refund provisions. A customer cannot avoid payment obligations for services already performed merely by submitting a termination request. Where work has commenced, RIPL may be entitled to retain or recover amounts relating to completed work, committed resources, administrative processing, third-party costs and other obligations, subject to applicable law and the relevant agreement.
257. Effect of Termination
Upon termination, the parties shall cease performing obligations that are expressly dependent upon continuation of the engagement, except for obligations intended to survive termination. Outstanding payments, confidentiality obligations, intellectual property restrictions, dispute-resolution provisions, liability provisions, indemnity obligations, record-retention requirements and other provisions that by their nature should continue shall remain effective. Termination shall not automatically cancel rights or liabilities that accrued before the effective termination date.
258. No Automatic Refund on Termination
Termination, cancellation, withdrawal, rejection, suspension or non-completion of an engagement does not automatically create a right to a refund. Refund eligibility shall be determined under the applicable commercial agreement and the refund provisions contained in these Terms. Where RIPL has substantially performed the agreed service, the customer's failure to obtain a desired business outcome shall not by itself create an automatic refund obligation. Any mandatory statutory refund or other legally protected consumer/customer right shall remain unaffected.
259. Liability Principles
To the maximum extent permitted by applicable law, RIPL's responsibility in connection with a service shall be limited to losses that are directly attributable to RIPL's proven breach of an applicable contractual obligation or other legally recognised basis of liability. RIPL shall not be responsible for losses arising solely from a customer's independent business decision, third-party decision, investor rejection, funding rejection, market conditions, government action, economic changes, customer misconduct, inaccurate information supplied by the customer or circumstances outside RIPL's reasonable control.
260. Exclusion of Indirect or Consequential Loss
To the extent permitted by applicable law, RIPL shall not be liable for indirect, incidental, special, exemplary or consequential losses, including loss of anticipated profit, loss of business opportunity, loss of goodwill, loss of expected investment, loss of expected funding, loss of future revenue, loss of prospective customers or business interruption, where such losses are not directly attributable to a legally actionable breach by RIPL. Nothing in this provision excludes liability that cannot lawfully be excluded or restricted under applicable law.
261. Liability Cap
Where legally permissible and unless a different limitation is expressly stated in a written agreement, RIPL's aggregate contractual liability arising directly from a particular paid service engagement shall ordinarily be limited to the amount actually paid to RIPL for the specific service giving rise to the claim. This limitation shall not apply to liabilities that cannot lawfully be limited or excluded. Where a specific written agreement contains a different liability framework, that agreement shall govern to the extent of any inconsistency.
262. Customer Indemnification
To the extent permitted by applicable law, a customer, applicant, founder, partner or user may be responsible for defending and indemnifying RIPL, its officers, employees, representatives and authorised service providers against third-party claims, losses, liabilities, costs or reasonable expenses arising from the user's unlawful conduct, fraud, wilful misconduct, infringement of third-party rights, unauthorised disclosure of information, breach of these Terms, misuse of services or submission of information that the user was not legally authorised to provide. This provision shall not require a user to indemnify RIPL for losses caused solely by RIPL's own unlawful conduct or liability that cannot legally be transferred.
263. Accuracy of User Representations
264. Fraud, Misrepresentation and Misuse
RIPL may reject an application, suspend a service, terminate an engagement or take other appropriate action where it reasonably identifies suspected fraud, forged documents, material misrepresentation, impersonation, unauthorised payment activity, misuse of another person's identity, manipulation of financial information, deceptive funding claims, unlawful activity or other serious misconduct. RIPL may preserve relevant records and cooperate with competent authorities where legally required or reasonably necessary to protect its rights, users or systems.
265. Compliance With Law
All services and commercial relationships are subject to applicable Indian laws and regulations and, where relevant, the laws applicable to the particular transaction, user or third-party service. Users are responsible for obtaining professional legal, tax, accounting, regulatory or other specialist advice where required. RIPL's business support or strategic assistance should not be interpreted as a substitute for advice from a qualified professional unless the specific engagement expressly provides for such professional service.
266. No Unauthorised Representation of RIPL
267. Dispute Resolution
RIPL encourages customers and users to first attempt to resolve disputes through good-faith written communication. A party raising a dispute should provide reasonable details regarding the transaction, agreement, issue, relevant communications and requested resolution. The parties may attempt management-level discussion or other mutually agreed resolution mechanisms before commencing formal proceedings, except where urgent legal relief or another remedy is reasonably required.
268. Governing Law
These Terms and the relationship between RIPL and the user shall, subject to applicable law and any valid written agreement containing a different governing-law provision, be governed by the laws of India. Nothing in these Terms is intended to deprive a person of any mandatory legal protection or statutory right that cannot lawfully be excluded by contract.
269. Jurisdiction
Subject to applicable law and any valid written agreement, courts having appropriate jurisdiction in or connected with Gwalior, Madhya Pradesh, India shall have jurisdiction over disputes arising from or relating to these Terms, the RIPL website or a commercial engagement. Where applicable law requires a dispute to be brought before another competent authority, tribunal, forum or jurisdiction, the legally required forum shall prevail.
270. Alternative Dispute Resolution
Where appropriate, the parties may mutually agree to mediation, conciliation, arbitration or another lawful alternative dispute-resolution mechanism. No party shall be required to participate in a particular alternative mechanism unless such mechanism is legally binding under an applicable written agreement or otherwise voluntarily accepted by the parties. Nothing prevents a party from seeking urgent interim or protective relief where legally available.
271. Notices
Formal notices relating to termination, legal claims, material contractual disputes, refund requests or other significant contractual matters should be sent through an authorised written communication channel identified by RIPL or the applicable agreement. RIPL's official contact email for general business communication is info@rishishwarindustry.in. A notice shall be considered properly communicated only where it is sent in a manner reasonably capable of being received and identified by the intended recipient, subject to applicable law.
272. Electronic Records and Signatures
Electronic records, emails, online application submissions, electronic acknowledgements, digital approvals, payment records and legally valid electronic signatures may be used as evidence of communications, transactions, consent or acceptance to the extent permitted by applicable law. Users should retain copies of important communications, invoices, payment confirmations, agreements and other transaction records for their own records.
273. Severability
If any provision of these Terms is determined by a competent court, tribunal or authority to be invalid, unlawful or unenforceable, that provision shall be modified or limited to the minimum extent necessary where legally permissible, and the remaining provisions shall continue in effect. The invalidity of one provision shall not automatically invalidate the entire agreement unless the applicable law requires otherwise or the invalid provision is so fundamental that the remaining agreement cannot reasonably operate.
274. Waiver
A failure or delay by RIPL to exercise a right, remedy or contractual power shall not constitute a waiver of that right or remedy. A waiver shall be effective only where it is clearly expressed and authorised. A waiver relating to one particular breach shall not automatically constitute a waiver of a later or different breach.
275. Assignment
A customer shall not assign or transfer its contractual rights or obligations to another person without RIPL's prior written consent where such consent is required by the applicable agreement. RIPL may reorganise, transfer, assign or delegate relevant contractual rights or obligations to an affiliated entity, successor, service provider or business transferee where legally permissible and where such transfer does not unlawfully reduce the user's mandatory rights.
276. Subcontracting and Delegation
RIPL may engage employees, consultants, technology providers, professional advisers, contractors or other service providers to perform portions of a service where reasonably necessary. Such delegation does not automatically release RIPL from obligations expressly assumed under the applicable agreement. Users acknowledge that certain services may depend upon third-party infrastructure, payment systems, communication platforms, research sources or specialist providers.
277. Entire Agreement
These Terms, together with the Privacy Policy, Disclaimer, applicable service description, invoice, proposal, programme rules, application terms and any specific written commercial agreement, constitute the contractual framework applicable to the relevant relationship to the extent they are incorporated or accepted. Where a specific written agreement expressly conflicts with these general Terms, the specific agreement shall ordinarily prevail for that particular engagement to the extent of the conflict.
278. Order of Precedence
Where multiple documents apply to the same engagement, the order of precedence may generally be: a mandatory provision of applicable law; a specific signed written agreement; an expressly accepted programme or service-specific agreement; an applicable invoice or commercial proposal; these Terms & Conditions; the Privacy Policy and Disclaimer for their respective subject matters; and general website information. This hierarchy shall be interpreted reasonably and shall not be used to defeat mandatory legal rights.
279. Amendments to These Terms
RIPL may update these Terms from time to time to reflect changes in services, technology, business practices, legal requirements, security practices or operational procedures. The latest published version shall generally apply to future website use and new engagements from its effective date. Where applicable law or a specific contract requires notice or consent for a material change, RIPL shall follow the legally required process. Users are encouraged to review the Terms before entering a new commercial engagement.
280. No Retroactive Defeat of Contractual Rights
An update to these Terms shall not automatically extinguish accrued contractual rights or liabilities arising under a previous valid agreement. Where a customer has entered into a specific written agreement containing its own terms, that agreement shall continue according to its stated duration and amendment provisions unless lawfully replaced, amended or terminated.
281. Survival of Provisions
Any provision which by its nature should continue after termination or expiry shall survive, including provisions relating to payment obligations, refunds, intellectual property, confidentiality, privacy, data retention, liability, indemnification, dispute resolution, governing law, jurisdiction, user representations, restrictions on misuse and other continuing rights or obligations. Survival shall apply only to the extent reasonably necessary to give effect to the relevant provision and applicable law.
282. Relationship With Privacy Policy
The Privacy Policy forms part of the overall legal framework governing use of the RIPL website and services with respect to personal information and data processing. Where these Terms address contractual rights and obligations and the Privacy Policy addresses personal-data practices, each document shall be interpreted according to its subject matter. Nothing in these Terms authorises processing of personal information in a manner prohibited by applicable privacy or data-protection law.
283. Relationship With Disclaimer
The RIPL Disclaimer explains important limitations regarding business information, funding opportunities, investment outcomes, third-party information, projections, business decisions and other matters. The Disclaimer does not eliminate contractual obligations expressly undertaken by RIPL under a specific written agreement. Similarly, the existence of a disclaimer does not authorise conduct that would otherwise violate applicable law.
284. Customer Due Diligence Before Engagement
Before making a payment or entering into a commercial relationship, users should independently verify the service description, commercial terms, applicable refund provisions, authorised payment channel, company communication details and any representations made to them. Users should not rely solely on informal messages, social media communications or statements from unauthorised persons claiming to represent RIPL. Where a significant financial decision is involved, users should conduct appropriate independent due diligence.
285. Payment Fraud and Impersonation Warning
RIPL shall not be responsible for losses caused by payments made to unauthorised bank accounts, personal accounts, unofficial wallets, fraudulent links, impersonators or persons falsely claiming to represent RIPL. Users should independently verify payment instructions through official RIPL communication channels before making substantial payments. If a user receives suspicious payment instructions, they should contact RIPL through info@rishishwarindustry.in before proceeding.
286. No Guarantee Through Promotional Language
287. No Oral Modification
Unless expressly permitted by applicable law or a specific agreement, material changes to commercial terms, refund commitments, funding commitments, ownership arrangements, liability provisions or other significant contractual obligations should be documented in writing and authorised by the relevant parties. Informal statements, assumptions or conversations shall not automatically modify a written agreement.
288. Interpretation of Headings
Section headings, titles and formatting in these Terms are included for convenience and navigation and shall not independently determine the legal meaning of a provision. The provisions shall be interpreted according to their wording, context, purpose and applicable law. References to the singular may include the plural and vice versa where the context requires.
289. No Construction Against RIPL Solely as Drafter
To the extent legally permissible, these Terms shall not automatically be interpreted against RIPL merely because RIPL prepared or published the document. The interpretation of any provision shall depend on its ordinary meaning, the surrounding contractual context, the parties' documented agreement and applicable law. Mandatory legal interpretation rules, however, shall continue to apply.
290. Good-Faith Cooperation
The parties are expected to act honestly and in good faith in performing their contractual obligations, providing information, completing verification, communicating material changes and attempting to resolve genuine issues. Good-faith cooperation does not require either party to waive a contractual right, statutory protection or lawful remedy.
291. Customer's Independent Business Responsibility
The customer remains ultimately responsible for its own business decisions, including investment decisions, hiring, pricing, borrowing, spending, product selection, market entry, expansion, regulatory compliance, taxation, contractual commitments and commercial risk. RIPL may provide research, analysis, strategy or business support, but the customer must independently evaluate whether a particular decision is appropriate for its circumstances.
292. No Reliance on Unverified Representations
Users should not treat statements from third parties, unofficial representatives, independent consultants, former employees, social media accounts or unrelated individuals as binding representations of RIPL. Only information communicated through authorised RIPL channels or contained in a valid written agreement should be relied upon for material contractual commitments.
293. Force Majeure
RIPL shall not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, epidemic, pandemic, war, civil disturbance, governmental action, regulatory restrictions, power failures, telecommunications failures, cyber incidents, internet disruption, platform outages, banking failures, strikes, third-party failures or other comparable circumstances. RIPL may suspend, modify, postpone or terminate affected services where reasonably necessary, subject to applicable law and the relevant contractual arrangements.
294. Regulatory or Governmental Changes
If a change in law, regulation, government policy, licensing requirement, taxation rule, funding framework or other regulatory condition materially affects an RIPL service or programme, RIPL may modify, suspend or discontinue the affected service where reasonably necessary. Where a specific contractual remedy is available, it shall be determined according to the applicable agreement and law.
295. Service Discontinuation
RIPL may discontinue, replace or modify a website feature, programme, service category, promotional campaign or business initiative for legitimate operational, commercial, legal, regulatory, technological or strategic reasons. Where the discontinuation materially affects an already-paid service, RIPL shall address the matter according to the applicable written agreement, refund provisions and applicable law.
296. No Third-Party Beneficiary Rights
Unless expressly stated in a written agreement, these Terms are intended to govern the relationship between RIPL and the relevant user or customer and do not automatically create enforceable rights for unrelated third parties. A person who is not a party to the applicable agreement shall not ordinarily claim contractual benefits solely because they were mentioned in a service, programme or communication.
297. Authorised Company Representatives
Only persons authorised by RIPL may approve commercial commitments, refunds, funding commitments, investment arrangements, partnership terms, contractual amendments or other binding obligations on behalf of the Company. Employees, interns, consultants, agents or other representatives may have limited authority. Users should verify significant commitments through an authorised RIPL communication channel.
298. No Employment or Agency Relationship
299. Final Acceptance of Terms
By accessing the RIPL website, submitting an application, making an enquiry, registering for a programme, requesting a service, making a payment, accepting a proposal, continuing an engagement or otherwise knowingly using a service to which these Terms apply, the user acknowledges that they have had a reasonable opportunity to review these Terms and agrees to be bound by the provisions applicable to their relationship with RIPL, subject always to applicable law and any specific written agreement governing the relevant engagement.
300. Final Legal Acknowledgement
FINAL CONTACT & LEGAL NOTICE
Rishishwar Industry Private Limited (RIPL)
For service-related questions, commercial clarification, refund requests, privacy matters, legal notices or other formal communications, users should communicate through authorised RIPL channels and retain copies of relevant correspondence, invoices, payment confirmations and agreements.
These Terms & Conditions should be read together with the RIPL Privacy Policy and Disclaimer and with any service-specific proposal, invoice, programme rules or written agreement applicable to the particular engagement.
